WORK OBJECTIVE: As Counsel, this position is responsible for serving as Corporate Administration Counsel for the NFTA and Metro and supporting the Surface and Property Business Centers. This is highly responsible legal work, characterized by a variety of professional level duties and responsibilities involving the delivery of legal services of a complex nature. Work involves the review and/or preparation of complex legal documents, the preparation of briefs and legal opinions, and the preparation and review of Board resolutions of a complex nature. Responsibilities also include representation of NFTA or various departments in legal proceedings. Work is performed under the general direction of the General Counsel and Chief of the Transactional Division and is reviewed through observation, conferences, reports and evaluation of results achieved.
ESSENTIAL FUNCTIONS: The list of essential functions, as outlined herein, is intended to be representative of the tasks performed within this classification. The omission of an essential function does not preclude management from assigning duties not listed herein if such duties are a logical assignment to the position. - Provides legal support to the Surface (Metro bus; Light Rail Rapid Transit (LRRT) and Property (commercial leasing) Business Centers. - Negotiates transactions and agreements, including complex property and business deals, settlement of both litigated and non-litigated disputes, leases, easements, procurements, and software licenses. - Advises on legal matters related to public development and infrastructure projects, contracts, land use and compliance with laws and regulations related to public works. - Drafts and/or reviews contracts and other legal documents, ensuring that all legal requirements and protections are included. - Handles NFTA corporate administration process, including preparation of and oversight of Board resolution process, interpretation of and amendments to corporate by-laws, interpretation of enabling legislation, legal advice on all procurement issues, preparation of procurement guidelines, and preparation of regulations. - Conducts legal research concerning substantively relevant legal issues or projects, and prepares reports, memoranda and opinions containing proposed or recommended courses of action. - Prepares resolutions and other proposed laws, rules, and regulations. - Prepares leases, contracts, and other legal documents. - Performs ethics training. - Assists the NFTA Grants Department in complying with the laws, rules, and regulations of the Federal Transit Administration. - Develops and implements strategies to minimize legal risks and liabilities - Performs additional duties and tasks, as assigned.
KNOWLEDGE, SKILLS and ABILITIES: Thorough knowledge of the laws of New York, local legislation pertaining to NFTA, public transportation laws, rules and regulations of the Federal Transit Administration, administrative law and regulations, public procurement, and state and federal grants processes. Knowledge of legal matters related to public works, real estate development, public financing, construction and surety law, and risk management. Knowledge of drafting and reviewing revenue generating and services contracts. Knowledge of real property appraisal methods and practices and surveying practices. Knowledge of real estate title search, verification and valuation work. Considerable knowledge of real property contracts and leases. Considerable knowledge of requirements of forms, content, and recording necessary to validate documents involved in real estate transactions. Ability to deal tactfully and effectively with government officials, employees, court officials, and the general public. Ability to draft legal instruments, proposed legislation, and legal opinions. Adept at negotiating terms and conditions to achieve mutually beneficial outcomes. Ability to analyze complex legal issues and provide practical solutions to the clients, ensuring compliance with relevant laws and regulations. Ability to understand technical documents relating to construction, real estate development, and conveyances of real property. Thorough knowledge of the principles, methods, materials, and practices of legal research, including use of electronic research platforms such as Lexis or Westlaw. Excellent technical and computer skills. Proficiency in or ability to learn the Microsoft Office Suite or comparable applications, (i.e., Word, Excel, PowerPoint, and Outlook). Must display attention to detail, excellent judgment, and the ability to handle issues and information in the most confidential matter.
PHYSICAL REQUIREMENTS: Tasks involve the ability to exert light physical effort in sedentary to light work, but which may involve some lifting, carrying, pushing and/or pulling of objects and materials of light weight (5-10 pounds).
ENVIRONMENTAL REQUIREMENTS: Work is performed in usual office conditions with rare exposure to disagreeable environmental factors.
MINIMUM QUALIFICATIONS: Graduation from an ABA accredited law school with a Juris Doctor degree, possession of a State of New York license as a practicing attorney and admission to the New York State Bar and five (5) years of professional experience as an attorney, which includes a minimum of two (2) years of experience pertaining to transactional work, the public sector, and governmental law. The ideal candidate will possess prior legal experience with a public sector/governmental entity.
