What You'll Work On
The Director of Legal is a practical, business-minded attorney who handles most of the Campbell Group's routine legal work so the businesses can move quickly with appropriate protection. This is initially a one-person legal function with room to grow. The ideal candidate has impeccable standards and sound judgment, understands how our businesses make money, and resolves issues commercially rather than through dispute. The role works closely with the Executive Team, business unit leaders, and functions across the Group.
You'll Support Your Team by Performing the Following Key Tasks
Business Advisory
Serve as a trusted advisor to business leaders across the Group, providing practical legal counsel that supports sound decision making
Commercial Agreements
Draft, review, and negotiate terms and conditions, NDAs, supply, distribution, reseller, partnership, services, software/data license, and tender agreements
Build and maintain templates, playbooks, and fallback positions so business units can handle standard transactions on their own
Advise on warranty, liability, and risk allocation
Employment Law
Advise HR and managers on employment matters, review policies, agreements, and correspondence for compliance, and involve outside counsel when needed
Legal, Ethical, and Regulatory Compliance
Ensure the Group operates to the highest legal and ethical standards and complies with the regulations of each jurisdiction in which it operates
Support compliance with trade (export control, customs, and tariffs), privacy, product regulation, and information security requirements, working with product, IT, and outside specialists
Corporate Governance and Entity Management
Maintain corporate records and entity filings for the Group's U.S. and international entities
Prepare and review intercompany agreements and support the HoldCo shared services model
Advise the Board of Directors and Executive Team, and support shareholder communications
Outside Counsel, Intellectual Property, and Transactions
Decide what to handle internally versus through outside counsel, manage outside counsel scope and cost, and coordinate with local counsel on regional office matters
Coordinate intellectual property matters (patents, copyrights, and trademarks) and maintain registrations
Support M&A by coordinating due diligence and documentation; outside counsel leads negotiation and drafting
Coordinate litigation, claims, and risk management with outside counsel and insurance brokers
Legal Operations
Maintain organized legal files and retention practices, and report to the CEO on open matters, spend, and emerging risks
What We're Looking For
Bachelor's degree and J.D. from an ABA-accredited U.S. law school
7+ years of legal practice, including law firm experience, ideally including at least 3 years in-house or client-embedded
Broad experience across commercial contracts, employment, and corporate matters
Active member in good standing of the Utah State Bar, or, if licensed in another U.S. jurisdiction, willing to apply for Utah House Counsel licensure within six months of accepting the position
Excellent analytical, drafting, and communication skills, with the ability to translate complex legal issues into practical, plain-English guidance and training for non-lawyers
Sound business judgment, including knowing when to accept reasonable risk and which clauses are worth negotiating
Self-directed, with good judgment about when to escalate or involve outside counsel
Strong project management skills and attention to detail
Collaborative, solution-oriented, and open to feedback
Comfortable with ambiguity in a fast-paced, growth-oriented organization
Proficient with Microsoft Office and Teams
Preferred Qualifications
In-house experience at a manufacturing, technology, or instrumentation company
Experience supporting international operations, including working with local counsel in multiple countries
Familiarity with export controls, trade compliance, privacy, or product regulation
Experience at a privately held or family-owned company, or with a holding company and shared services structure
Exposure to M&A transactions in a support role
Business-related education (such as an MBA) or prior business experience
Performance Metrics

Contract turnaround time
In-house client satisfaction
