Job Description:
Johnson & Johnson is currently recruiting for an Assistant Corporate Secretary. This position is based in New Brunswick, NJ.
The Global Legal Organization is recruiting an Assistant Corporate Secretary. This position will provide legal counsel on matters of corporate governance, securities, and public company disclosure to Johnson & Johnson. This role will also provide support to the Board of Directors and Executive Committee of Johnson & Johnson.
Key Responsibilities:
Provide support to the Board of Directors and Executive Committee by serving as Secretary to one or more Board Committees
Support drafting, finalizing and filing of securities filings including the Proxy Statement, Forms 10-K, 10-Q and 8-K, Section 16 filings, and other filings
Oversee and implement the company's Disclosure Controls & Procedures and support the company's Disclosure Committee
Advise Corporate Controller's group, Investor Relations, and Corporate Communications regarding quarterly disclosures and presentations, analyst meeting materials, disclosures regarding significant transactions and other developments, including on Regulation FD and non-GAAP issues
Primary legal responsibility for the company's external communications guidelines, including review of Johnson & Johnson press releases and significant operating company press releases
Provide guidance on the Code of Business Conduct, including regarding Insider Trading
Participate in the planning and execution of the Annual Shareholder Meetings
Assist with the shareholder engagement process, including the preparation of talking points and managing, negotiating and as appropriate, seeking SEC No Action relief on shareholder proposals
Engage and build connections with various external groups and corporate governance peers at other public companies
Advise on compliance with securities laws and regulations, including those of the U.S. Securities and Exchange Commission and New York Stock Exchange
Advise on Section 16 compliance, including preparation of Forms 3, 4 and 5 for Section 16 insiders
Support the governance for our Directors and Officers including: assisting in the preparation and review of the annual Director & Officer Questionnaire; assessing and managing conflicts of interest; collaborate with finance on the annual related party transaction and independence testing; and preparing the Related Party Transactions & Independence memos
Manage, assist and advise on oversight of subsidiary governance and management, including with respect to overseeing and supporting our global compliance with ultimate beneficial owner requests
Manage, support and develop a team of governance specialists supporting the Company's subsidiary management and securities filings
Position Requirements:
A minimum of a law degree from an internationally or nationally recognized university is required along with active registration, in good standing, with a state bar
At least 8 years at a law firm or in-house legal department of a multinational corporation is required, preferably in corporate.
Experience working with senior leaders or on high visibility projects
A positive attitude and the ability to work independently and across business functions and cultures are required
The candidate must be fluent in both written and spoken English, be able to communicate effectively, and demonstrate the ability to counsel senior management
Preferred Requirements/Competencies:
Educational and/or work experience in the U.S. or with a U.S.-based multinational corporation is preferred
Experience working with securities law or other highly regulated practice areas
Background in corporate governance

The anticipated base pay range for this position is :
$178,000.00 - $307,050.00
