Job Overview:
The Corporate Paralegal supports the legal function by administering corporate governance, compliance, and departmental administration activities. This role ensures accurate documentation, regulatory compliance, and efficient legal operations through strong organization, attention to detail, and cross-functional collaboration.
Responsibilities/Essential Functions:
Maintains corporate records, including entity formations, governance documents, and organizational charts.
Supports corporate governance processes, including preparation of board materials, meeting minutes, resolutions, consents and certificates.
Manages legal spend and matter management systems.
Assists with filings and compliance requirements with federal, state, and local regulatory agencies.
Ensure service of process, subpoenas and other legal filings are routed to appropriate internal parties.
Supports contract administration processes, including tracking, organizing, and maintaining agreements.
Supports attorneys with drafting and reviewing standard legal documents and templates.
Coordinates due diligence activities for transactions, audits, or internal reviews.
Maintains legal calendars and monitors deadlines for subpoenas, filings, renewals, and reporting requirements.
Assists with compliance programs, including policy tracking, certifications, and documentation management.
Partners with internal stakeholders to gather information and support legal inquiries and requests.
Conducts legal and regulatory research to support attorneys and business initiatives.
Maintains confidentiality of sensitive legal and business information.
Identifies opportunities to improve legal processes, documentation, and tracking systems.
Performs other duties as needed.
Knowledge/Skills/Abilities:
Working knowledge of corporate governance, legal documentation, and compliance processes.
Ability to manage multiple priorities and deadlines in a fast-paced environment.
Strong organizational skills and attention to detail in document preparation and recordkeeping.
Ability to analyze information and support legal decision-making with accurate documentation.
Strong written and verbal communication skills to interact with legal and business stakeholders.
Ability to handle sensitive and confidential information with discretion.
Proficiency with legal systems, document management tools, and corporate filing platforms.
Strong proficiency in Microsoft Office tools including Outlook, Word, Excel, and PowerPoint to support documentation, tracking, and reporting; experience with Hcue, SOP Hub and Passport a plus.
Experience/Qualifications:
Bachelor's degree or Paralegal certificate from an accredited program preferred.
5 years of experience in a corporate legal or law firm environment.
Experience supporting corporate governance, compliance, or contract administration activities preferred.

Exercises sound judgment and discretion when handling confidential and sensitive legal matters.
Identifies opportunities to improve processes and enhance efficiency within the legal function.
Adapts to changing priorities and regulatory requirements while maintaining quality and compliance standards.
Working Environment/Safety Requirements/Physical Requirements:
Performs work primarily in a standard office environment and must be able to remain seated for extended periods while working on a computer, with occasional standing, walking, and lifting of light office materials.
