Provide legal advice to underwriters, institutional investors and companies in securities transactions for domestic and foreign clients in a range of industries, including biotechnology. Conduct in depth legal research and diligence reviews in relation to securities transactions. Draft and review disclosure documents and transaction documents. Supervise junior attorneys, law clerks and legal assistants through transaction cycle. Prepare for and conduct marketing and business development initiatives, including drafting and delivering client pitches and client training materials, on-site client relationship meetings and other business development events. Conduct firm recruitment and hiring process for new attorneys.Requirements: Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 2 years of experience in position offered or as an Associate at an international law firm with annual revenues in excess of $1 billion.**All required experience must have included: providing legal advice to underwriters, institutional investors, and companies, in securities transactions relating to IPOs, sovereign entity offerings, follow-on equity offerings, private placements, Reg S/144A offerings, convertible notes exchanges, at-the-market (ATM) offerings, deSPAC transactions, spinoffs, consent solicitations and No Action Letters as well as negotiating related documentation for the above transactions; working with both US domestic and foreign private issuer clients in the biotechnology, retail, banking, real estate industries, and technology; researching and drafting documentation related to Chapter 11 restructurings including DIP financings, Regulation A disclosure, and registration rights agreements; researching and analyzing U.S. federal securities laws and related regulations, including the UCC and state corporate laws, including issues related to Regulation M, high yield debt covenants and risk factor disclosure preparing and negotiating underwriting agreements, exchange listing applications and registration rights agreements; conducting intellectual property diligence and disclosure review for IPOs, M&A transactions and unregistered offerings; and conducting marketing and business development initiatives, including drafting and delivering client pitches and on-site client relationship meetings. Must be admitted to practice law in New York State. This role entails hybrid work, with time split between working in our New York, NY office and flexibility to telecommute from another U.S. location.#LI-DNI
