Responsibilities

The Senior Corporate Counsel serves as the primary legal partner to the Supply Chain team, providing practical, business-focused counsel on supplier contracting, strategic sourcing initiatives, and related commercial matters. This attorney leads complex negotiations, strengthens contracting standards, and helps the business move efficiently while appropriately managing legal and regulatory risk.

Primary Responsibilities:

Lead Commercial Contracting. Draft, review, and negotiate complex supplier agreements, amendments, renewals, and strategic commercial arrangements supporting SCA Health's supply chain operations.

Serve as the Primary Legal Partner to Supply Chain. Provide practical, business-focused counsel to Category Managers and Supply Chain leadership on contracting strategy, risk allocation, dispute resolution, and other commercial matters.

Develop and Maintain Contracting Standards. Create and implement contract templates, playbooks, fallback positions, and related guidance to improve consistency, efficiency, and legal protections.

Identify and Mitigate Risk. Advise stakeholders on legal, regulatory, financial, operational, and compliance risks associated with supplier relationships and commercial transactions.

Support Enterprise Initiatives. Collaborate with Supply Chain Operations, Finance, Clinical Leadership, Compliance, and other Legal team members on strategic initiatives, process improvements, and matters affecting the supply chain function.

Qualifications

Required Qualifications:

Juris Doctor degree from an accredited law school.

Active license to practice law and good standing in at least one U.S. jurisdiction.

At least 5 years of relevant legal experience, with substantial experience drafting and negotiating complex commercial agreements; in-house experience preferred.

Experience advising strategic sourcing, procurement, or supply chain functions preferred.

Healthcare industry experience, including familiarity with ambulatory surgery centers, preferred.

Experience with group purchasing organizations preferred.

Working knowledge of contract lifecycle management systems and standard Microsoft applications.

Exceptional commercial contracting and negotiation skills, including the ability to identify priorities, develop practical solutions, and close complex agreements.

Sound legal judgment and a demonstrated ability to assess and communicate risk in a clear, business-oriented manner.

Ability to improve contracting processes and cycle times without compromising necessary legal protections.

Strong relationship-building and communication skills, with the ability to establish credibility and build consensus across legal, operational, clinical, financial, and executive stakeholders.

Ability to work independently, manage multiple priorities, and lead matters from issue identification through resolution.

Strong analytical, problem-solving, project management, and organizational skills.

High standards of integrity, professionalism, responsiveness, and client service.

Ability to work effectively with a wide range of personalities, functions, and working styles.
