Description

Innovative AI company is seeking a Commercial Counsel with strong SaaS experience to join its team in Santa Clara. This attorney will support a wide range of commercial legal matters, with a focus on drafting, reviewing, and negotiating technology-driven agreements in a fast-paced, high-growth environment. This is a hybrid position requiring on-site work in Santa Clara, CA on a weekly basis.

Key Responsibilities

Draft, review, and negotiate a variety of commercial agreements, including SaaS, software licensing, vendor, customer, partnership, and services agreements

Provide practical legal guidance on contract terms, risk assessment, and business-facing solutions

Partner closely with internal stakeholders, including sales, procurement, product, and leadership teams

Support legal issues related to technology transactions, data use, and general commercial operations

Help develop and improve contract templates, playbooks, and legal processes

Advise on contractual obligations, compliance considerations, and legal risk mitigation

Manage multiple agreements and priorities in a dynamic, deadline-driven environment

Requirements

Qualifications

J.D. from an accredited law school and active license to practice law in any US jurisdiction

Prior experience as a Commercial Counsel or attorney supporting commercial transactions

Strong experience with SaaS agreements and other technology-related contracts

Experience supporting technology and/or AI companies preferred

Excellent contract drafting, negotiation, and issue-spotting skills

Ability to provide practical, business-oriented legal advice

Strong communication skills and ability to collaborate cross-functionally

Must be able to work on-site in Santa Clara on a hybrid basis
