Job Summary:
Responsible for providing legal advice and support on a broad range of corporate, securities, governance, finance, disclosure, and compliance matters for a publicly traded company. This position partners closely with executive leadership, finance, investor relations, treasury, human resources, internal audit, tax, compliance, and other business teams to ensure compliance with applicable securities laws, stock exchange requirements, and corporate governance standards. The role also supports strategic transactions, financing activities, and board of directors' matters.
Key Responsibilities:
Prepare board resolutions, presentations and other board materials relating to company transactions, annual meetings, share plan operations and related matters; and otherwise support the board and committee meeting material preparation and distribution process
Provide legal support for preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and other securities filings
Aid in the preparation of the company's annual proxy/information statements, manage directors' & officers' questionnaires and participate in the planning of and preparation for shareholder meetings
Monitor developments in securities laws, SEC regulations, and stock exchange listing requirements
Respond to internal inquiries related to disclosure obligations, materiality assessments, and reporting requirements
Provide support on executive compensation disclosure requirements, including international equity filings, and employee share plan matters
Support the global Treasury organization on banking operations, including global and local credit facilities, banking services agreements and FX hedging and related ISDA documentation
Advise transactional teams on corporate structure and internal policies; and on support instruments such as corporate and bank guarantees, surety bonds and stand-by letters of credit
Advise on other disclosure matters, including global sustainability reporting
Provide support for other corporate and capital markets transactions, as needed
Manage both in-house and outside legal resources
Relationships:
Reports to: Corporate Matters Counsel Senior Managers
Supervises: Paralegals, legal assistants and other support staff
Basic Qualifications:
J.D. from an accredited law school
Minimum of 3 years of legal experience managing securities compliance, SEC reporting, corporate governance and public company matters in a law firm or fast-paced corporate legal department
Preferred Qualifications:
Experience working on international corporate and regulatory compliance issues
Proven ability to efficiently manage and contribute to significant numbers of projects simultaneously
Executive compensation and share plan compliance experience
Corporate finance experience supporting global finance, treasury, and banking operations
Professional Skill Requirements:
Ability to manage multiple priorities in a fast-paced environment
Strong interpersonal skills and ability to work effectively with senior leadership
Detail oriented, organized, reliable with a relentless focus on execution
Independently manage drafting of documents and correspondence
Excellent oral and written communication skills
Ability to explain complex securities, governance and finance matters clearly to senior leadership
Strong business judgment and ability to provide practical legal advice
Demonstrated leadership in professional setting; either military or civilian
Demonstrated teamwork and collaboration in a professional setting; either military or civilian
Compensation at Accenture varies depending on a wide array of factors, which may include but are not limited to the specific office location, role, skill set, and level of experience.
