Vice President, Deputy CLO - Commercial, Strategic Transactions and Government Contracts - 942
Quantinuum is seeking an experienced commercial transactions and government contracts leader to join its global Legal team as Vice President, Commercial, Strategic Transactions and Government Contracts in our Broomfield, CO location. Reporting to the Chief Legal Officer, this leader will establish, lead, and scale Quantinuum's global commercial contracting and government contracts function, serving as the company's senior legal advisor for complex customer-facing and vendor-facing transactions across enterprise, government, research, platform, hardware, software, services, procurement, and strategic partnership matters.
This role requires meaningful public company experience, deep experience with both private-sector enterprise contracting and government contracting, strong judgment, practical and decisive legal advice, a strong sense of urgency, and the ability to build scalable contracting processes, playbooks, templates, negotiation frameworks, and controls that support Quantinuum's growth as a global, public technology company operating at the forefront of quantum computing.This leader will be a critical member of the extended leadership team and a trusted partner to Sales, R&D, Product, Engineering, Finance, Procurement, Security, Compliance, Government Affairs, Operations, and executive leadership. The successful candidate will bring experience supporting advanced technology companies with hardware, software platforms, cloud or platform-based services, research collaborations, government programs, complex enterprise sales, strategic vendor relationships, and multi-jurisdictional contracting. They will build and manage a global team that enables commercial execution, protects the company's strategic interests, supports customer and partner trust, and helps the business move quickly and responsibly.
Quantinuum seeks an outstanding commercial and government contracts leader with broad global exposure, strong legal and business judgment, meaningful public company experience, and significant experience advising high-growth, multinational technology organizations. In-house legal experience is strongly preferred, and experience establishing or materially scaling commercial transactions, strategic contracts, or government contracts function in a newly public or similarly high-growth public company environment is preferred. The successful candidate will bring a proven track record across enterprise contracting, government contracting, hardware and software transactions, platform and cloud services, strategic partnerships, procurement, vendor management, regulatory compliance, contract operations, and cross-functional executive advising in multiple jurisdictions.Success in this role will require executive presence, clear communication, strong collaboration, and the ability to build trusted relationships across
Quantinuum's Legal, Sales, R&D, Product, Engineering, Finance, Procurement, Security, Compliance, Government Affairs, Operations, and leadership teams. The successful candidate will be agile, strategic, pragmatic, solutions oriented, and comfortable operating in a fast-paced, transparent, and highly technical environment where facts may evolve and decisions often must be made with imperfect information. They will be able to explain complex commercial, technical, legal, regulatory, and business issues clearly, listen carefully, make timely and risk-calibrated decisions, stand by sound legal judgment, and challenge constructively when needed.
Key Responsibilities:
Establish, lead, and scale Quantinuum's global commercial contracting and government contracts function, including strategy, priorities, team structure, operating rhythms, templates, playbooks, escalation paths, approval processes, negotiation frameworks, contract lifecycle practices, and reporting aligned with business objectives, public company expectations, and effective partnership across the company.
Build, lead, manage and retain a high-performing global commercial legal team supporting customer-facing and vendor-facing transactions, including defining roles, regional coverage, hiring priorities, talent development, operating expectations, and consistent execution across jurisdictions.
Serve as the senior legal partner to Sales, R&D, Product, Engineering, Finance, Procurement, Security, Compliance, Government Affairs, Operations, and executive leadership on complex commercial, technology, government, procurement, and strategic transactions.
Draft, review, negotiate, and advise on complex customer-facing agreements, including enterprise sales agreements, government contracts, research and development collaborations, software platform agreements, hardware sales and deployment agreements, SaaS and cloud-based services terms, professional services agreements, support and maintenance terms, licensing arrangements, strategic partnerships, teaming arrangements, statements of work, and master services agreements.
Draft, review, negotiate, and advise on complex vendor-facing agreements, including hardware supply, manufacturing, facilities, engineering, technology, procurement, software, cloud, cybersecurity, professional services, outsourcing, logistics, consulting, and other strategic supplier agreements.
Lead legal support for government contracting matters, including federal, state, local, sovereign, and public-sector opportunities, and advise on procurement structures, flow-down requirements, funding conditions, milestone-based awards, public-sector rights and remedies, compliance obligations, and government customer expectations.
Partner with Sales and Commercial leadership to support enterprise contracting strategies, revenue execution, deal velocity, pricing and packaging models, value-sharing or milestone-based structures, customer commitments, channel and partner models, and scalable contracting approaches.
Partner with R&D, Product, Engineering, and Operations to support transactions involving advanced quantum computing hardware, software platforms, cloud access, developer tools, cybersecurity solutions, research data, system deployment, technical milestones, acceptance criteria, support obligations, and product roadmap dependencies.
Partner with Finance, Accounting, Tax, Procurement, Security, Compliance, Export Control, and Operations to ensure contracts are structured and approved in a manner that supports revenue recognition, margin discipline, risk allocation, regulatory compliance, supply chain resilience, data security, export controls, customer commitments, and operational delivery.
Advise on complex contract risk, including intellectual property ownership and licensing, data rights, confidentiality, cybersecurity, privacy, export controls, sanctions, government funding conditions, audit rights, acceptance and delivery obligations, warranties, indemnities, limitation of liability, termination rights, remedies, exclusivity, most-favored customer provisions, and strategic control points.
Build practical contracting infrastructure, including standard templates, clause libraries, fallback positions, approval matrices, playbooks, training, intake processes, negotiation guidance, and decision frameworks that enable the business to move with speed, consistency, and appropriate risk discipline.
Support contract disputes, escalations, claims, audits, performance issues, customer and vendor negotiations, and early-stage dispute resolution in partnership with Litigation, Compliance, Finance, Sales, Procurement, and business stakeholders.
Manage outside counsel, contract support resources, consultants, budgets, accruals, and related legal spend with fiscal discipline, accountability, and a focus on clear business outcomes.
