The Corporate Paralegal provides legal and administrative support to the Legal Department by assisting with corporate governance, entity management, commercial contracts, regulatory compliance, litigation and claims management, and legal operations. This role works closely with attorneys, business leaders, finance, HR, IT, and external counsel to ensure efficient legal support across the organization.
Key Responsibilities
Corporate Governance
Maintain corporate records, minute books, and governance documents.
Prepare board and committee meeting materials, resolutions, consents, and minutes.
Manage legal entity formations, dissolutions, mergers, qualifications, and annual filings.
Maintain corporate organizational charts and subsidiary records.
Coordinate annual corporate governance calendars and compliance requirements.
Commercial Contracts
Draft, review, and revise routine agreements using approved templates, including:
Non-Disclosure Agreements (NDAs)
Vendor Agreements
Customer Agreements
Statements of Work
Amendments
Track contract execution and maintain contract lifecycle management (CLM) system.
Monitor contract renewal and termination dates.
Assist attorneys during contract negotiations.
Compliance
Support corporate compliance initiatives and internal policies.
Assist with ethics and compliance training.
Track required regulatory filings and licenses.
Maintain compliance documentation and certifications.
Monitor legal developments affecting the business.
Assisting with securities law compliance, including SEC filings, if supporting a public company.
Litigation & Dispute Management
Coordinate with outside counsel on litigation and claims.
Manage legal holds and document preservation.
Maintain litigation tracker and document repository.
Process subpoenas and governmental inquiries.
Legal Operations
Manage legal department records and document management systems.
Process invoices and manage outside counsel billing.
Track legal spend and budgets.
Support implementation and administration of legal technology platforms.
Develop reports and legal metrics for department leadership.
Leading implementation of legal technology and process improvement initiatives.
Cross-Functional Support
Collaborate with Finance, Procurement, HR, Risk Management, and Compliance.
Respond to internal legal requests.
Coordinate signatures and execution of legal documents.
Support mergers, acquisitions, financing transactions, and other strategic projects.
Qualifications
Education
Associate's or Bachelor's degree preferred.
Paralegal certificate from an ABA-approved program preferred.
Experience
3-10 years of corporate paralegal experience.
Experience in an in-house legal department strongly preferred.
Experience supporting public company governance is a plus.
Experience with entity management and contract lifecycle management systems preferred.
