JOB SUMMARY

The Commercial Counsel will play a key role in negotiating, drafting, and managing a wide range of commercial agreements while driving efficiency and scalability through effective use of contract lifecycle management (CLM) software and AI-enabled tools. This role partners closely with sales and business teams to streamline contracting processes and unlock the full value of CLM platforms. The Commercial Counsel provides practical, business-oriented legal advice, supports revenue-generating initiatives, and leverages technology and AI to enhance contract quality, consistency, and operational excellence across the organization.

ESSENTIAL FUNCTIONS:

Negotiate, draft, finalize, and manage various commercial agreements, including but not limited to sales agreements, ensuring clarity and alignment with Vertiv's business objectives and internal guidelines.

Optimize CLM software and partner with cross-functional teams to streamline contract negotiation, execution, and post-execution management.

Leverage AI-enabled legal tools to improve contract review, risk assessment, and drafting efficiency; identify opportunities to automate routine tasks, enhance data insights, and deliver faster, higher-quality legal support to the business.

Effectively provide counsel and support for commercial transactions and objectives, leveraging advanced analytical skills and a deep understanding of legal and business considerations.

EXPERIENCE AND SKILLS

Minimum 6 years of relevant experience at a large law firm or in-house publicly traded company having substantial domestic and international operations, in a commercial legal or commercial contracts role;

Demonstrated experience implementing and optimizing AI-enabled contract automation and CLM platforms, with a passion for transforming the legal department into an AI-native operation;

Demonstrated strong experience with commercial transactions, including drafting and negotiating global and/or regional sales agreements;

Demonstrated strong experience in interpreting and explaining contract language and/or complex commercial matters to internal stakeholders; and,

Demonstrated strong broad-based general corporate experience in various areas of law.

INTERACTIONS:

The Commercial Counsel will interact with our management and business associates across our business functions and departments, including but not limited to, sales, finance, compliance, risk management, order management, accounting, tax, manufacturing and operations, engineering, and strategy and business development teams, as well as customers, and other individuals depending on the matter at hand.

POSITION ELIGIBILITY REQUIREMENTS:

Position located at Vertiv corporate offices in Westerville, Ohio.
