Counsel - Contracts
Job Summary
The counsel position will report to the Managing Counsel and will work closely with other legal leaders, senior counsel, and team members to provide legal services, support and advice on complex and routine transactional matters involving the enterprise, care delivery system, and health plan.
Essential Functions
Draft, review, and negotiate high volume of commercial agreements, including health system-specific supply chain agreements, which involve the purchase of both products (e.g. medical devices, equipment, disposables) and services.
Provide counsel to enterprise-level supply chain leaders on key commercial terms, including pricing methodologies, rebates and incentives, delivery terms, warranties, indemnification, limitation of liability, insurance, confidentiality, intellectual property ownership/licensing, and audit rights.
In consultation with internal legal colleagues, draft, review, and negotiate core acquisition and combination agreements, including asset purchase agreements, stock purchase agreements, membership interest purchase agreements, merger/contribution agreements, governance documents, joint venture agreements, letters of intent, confidentiality agreements, and ancillary documents to ensure documents reflect business objectives and regulatory compliance.
Provide support to enterprise leaders for transactional workstreams, including due diligence oversight, fair market value assessments, and coordination of internal and external teams, including management of transaction timelines, milestone tracking, and closing processes.
Demonstrate curiosity and a willingness to support clients and legal team members on matters which may be new to your skillset. Exhibit a service mindset, and ability to establish and maintain relationships with clients and fellow team members in and outside the department.
Issue-spot and advise on regulatory and compliance considerations that frequently intersect with commercial contracting (e.g., HIPAA/data privacy, data security, rebates/referral/compensation concerns under Stark and Anti-Kickback), partnering with internal legal subject matter experts, Compliance, Privacy, Information Security, and Finance, as appropriate.
Apply understanding of health system operations to deliver actionable, practical, business-focused legal advice when advising on transactions, regulatory considerations, risk allocation, and alignment with organizational strategy.
Communicate legal concepts in a clear and concise manner to non-legal business and senior leaders.
Establish and maintain collaborative working relationships with, and as needed provide mentorship, direction, and guidance to, fellow attorneys, legal specialists, and other team members throughout the organization.
Foster and maintain relationships with and provide cost-effective use and oversight of external legal counsel, consultants, and advisors.
Qualifications
Required
Doctorate from an ABA accredited law school
5 years of relevant experience Broad commercial transactional experience, including experience with material supply chain agreements, mergers and acquisitions, and corporate healthcare transactions. ?
Attorney working as counsel - ABA American Bar Association Upon Hire
Preferred
2 years of relevant experience and knowledge of and ability to provide legal guidance on health laws such as Stark Law, AKS, False Claims Act, HIPAA/data privacy and security.
2 years of relevant experience in healthcare industry serving healthcare clients as a private practice attorney and/or as healthcare in-house attorney.
