Job Description: Provide support in drafting, reviewing, and revising brand-side and talent-side sponsorship agreements for firm clients in various industries, including technology, consumer products, food & beverage, and entertainment. Draft, review, revise, negotiate, and advise on other brand-side and talent-side sponsorship agreements for firm clients in various industries, including technology, consumer products, food & beverage, and entertainment. Help in counseling technology clients on advertising and marketing matters, including social media review, FTC compliance review, ad claim substantiation review, and sweepstakes/giveaway rules review. Advise on advertising and marketing matters for food & beverage clients, to ensure compliance with the following: the FTC, state and federal advertising laws, and social media channel guidelines/terms & conditions. Advise various firm clients on sweepstakes and giveaways to ensure compliance with advertising and lottery laws across the United States, including drafting and revising sweepstakes and giveaway rules, and providing state-by-state guidelines on bonding and registering sweepstakes/giveaway prizes. Advise clients on clickwrap and browsewrap enforceability issues - includes drafting/revising website and terms of use/service and providing best practices for ensuring the enforceability of such terms. Draft, review, revise, negotiate, and advise on other agreements for firm clients in various industries, including technology, consumer products, food & beverage, and entertainment, including licenses and intellectual property transfers, consulting and services agreements, distribution agreements, purchase agreements, reseller agreements, referral agreements, terms of sale, software-as-a-service agreements, non-disclosure agreements, appearance releases, liability waivers, and independent contractor agreements.

Position allows for partial remote work. Must live within reasonable commuting distance. Reports to office in Denver, CO.

Job Requirements:

Requires a Juris Doctor degree in Law from an accredited law school and 3 years of post-Juris Doctorate related experience, which must include some experience in each of the following skills:

Drafting, revising, and negotiating licenses and intellectual property transfers, consulting and services agreements, distribution agreements, purchase agreements, reseller agreements, referral agreements, terms of sale, software-as-a service agreements, non-disclosure agreements, appearance releases, liability waivers, and independent contractor agreements , with expertise in key provisions such as indemnification, limitation of liability, and disclaimers; termination and breach provisions; payment terms and milestone structures; confidentiality and data protection; force majeure and dispute resolution mechanisms; and governing law and jurisdiction clauses.

Drafting, revising, and negotiating brand-side and talent-side sponsorship agreements, with expertise in issues relevant to public figure endorsements, such as professional sports league requirements, guild obligations (e.g., SAG AFTRA), clearance procedures for use of name, image, likeness, benefits clauses, and music-specific licensing and usage requirements (including synchronization and master use licensing).

Drafting, revising, and negotiating intellectual property licenses and transfers, with expertise in issues affecting intellectual property ownership, licensing rights, infringement risks, and the protection of intellectual property assets.

Drafting and revising clickwrap and browsewrap terms, including website terms of use and service, with an understanding of legal issues impacting enforceability under U.S. law, including current consumer protection standards and recent court decisions affecting digital agreement validity.

Drafting and revising sweepstakes and giveaway rules to ensure state and international lottery compliance, including multi-jurisdictional analysis across all 50 U.S. states and applicable international regions, and management of any bonding and prize registration obligations.

Reviewing social media content and other relevant advertising (e.g., consumer websites) to ensure compliance with social media platform requirements and current U.S. and international advertising and marketing laws, including the FTC, FDA, and other related consumer advertising and marketing laws.

Reviewing product packaging (including food and beverage packaging) to ensure compliance with advertising regulations for consumer products, including (but not limited to) specialized labeling and marketing requirements under FTC, FDA, and other applicable national and international standards.

Must be licensed to practice law in Colorado.

Salary Range: $215,000.00 - $270,000.00 per year
