The Director, Corporate Attorney, serves as a strategic legal advisor playing a critical role in supporting the company's public company reporting obligations and broader corporate governance needs. This attorney will have the ability to independently manage SEC filings, supervise a team of paralegals in maintaining and optimizing the Company's 40+ global subsidiaries, in coordination with the General Counsel, they will support the Company's Board of Directors, and contribute to a range of corporate legal matters. They will partner with senior leaders across the organization to drive business objectives, delivering timely, strategic input that enables innovation and business growth while managing legal risk and safeguarding the company's integrity. Advise on corporate governance and Board matters.

Job Description:
Legal support for Board of Directors and committee meetings; oversee management of governance documents and corporate records; oversee legal aspects of the annual stockholder meeting and proxy development; advise on governance best practices.
Support corporate governance matters, including board and committee preparation and maintenance of governance policies and practices.
Assist with disclosure planning and drafting, including quarterly earnings releases, investor presentations, and the annual proxy statement.
Advise on securities law compliance, Nasdaq listing standards, and insider trading matters.
Provide legal support for corporate transactions, including financing and equity offerings.
Support cross-functional teams on general corporate matters.
Collaborate with external counsel and internal teams including Finance, Investor Relations, and HR.
Support business development and strategic transactions such as M&A, joint ventures, and research collaborations.
Partner with Finance and Corporate Development teams on securities, fundraising, and disclosure issues as needed.
Manage a paralegal team in the continued optimization and legal compliance for the Companies 40+ global subsidiaries.
Serve as a trusted advisor to senior management and business leaders on strategic initiatives and legal risk.
Participate in cross-functional governance committees.
Embed compliance considerations into operational workflows in partnership with Quality, Regulatory, and Product teams.
Demonstrate legal innovation and cross-functional leadership, driving initiatives that extend beyond traditional legal boundaries to deliver enterprise-wide solutions.
Apply an enterprise mindset and critical thinking in resolving complex issues with significant business impact, championing continual improvement in processes, technology, and agility.
Foster strong collaboration within the legal function and with business units and functions across the organization.
Support adherence to internal policies and monitor legislative developments impacting the business.
Demonstrate strategic business ownership, external awareness, proactive counseling, innovation, and value creation in stakeholder interactions.
Basic Requirements:
Juris Doctor (JD) from an accredited law school.
7+ years of corporate and functional law experience in combination of law firms and life science companies.
Active membership in at least one U.S. state bar.
Deep knowledge of SEC rules and regulations, Sarbanes-Oxley, listing exchange requirements, and other applicable laws and regulations.
Prior experience with managing global corporate subsidiaries and entities.
Proactive in identifying risks, opportunities, and process improvements.

Competitive base salary based on experience and qualifications: $162,400 - $227,400(subject to variation depending on physical location).
Posted salary ranges are provided in good faith. embecta reserves the right to adjust ranges depending on the selected candidate's experience, qualifications, external market conditions, and internal equity considerations.
Base pay is one component of the Total Rewards package at embecta, which also includes eligibility for an annual bonus and an annual LTI award.
