Serve as the leader on all aspects of antitrust practice at Honeywell Aerospace, a newly-formed public company that will emerge from the spin of Honeywell's Aerospace division ($17B annual revenues) by Q3 2026. This position has no direct reports but operates at an executive level in the Law Department and has significant influence on legal and business strategy. This role will report to the Deputy General Counsel and Chief Compliance Officer, who also oversees litigation, intellectual property and ESG. The role will work with senior legal and compliance leadership and interact closely with business leaders and other functional professionals including, M&A, Sales, Finance, each of the Strategic Business groups and other senior members of the Law Department
Why this role matters?
This role will refine and implement the legal and compliance antitrust enterprise strategy for Honeywell Aerospace, ensuring that all aspects of operations and strategy, including on M&A transactions, channel strategies, joint venture arrangements, new market entry and distribution networks. In this role, the chosen candidate will provide critical leadership in standing up antitrust governance, policies, and engagement models appropriate for a newly independent public company, including designing scalable compliance infrastructure and regulator-facing protocols.
Key Responsibilities
Global Antitrust Compliance Program
Assess and refine the strategy, design, and execution of the company's global antitrust and competition law compliance program, including written policies, risk-based procedures, monitoring mechanisms, and annual program assessments.
Conduct enterprise-wide antitrust risk assessments across all business units and geographies, identifying areas of heightened exposure (pricing, teaming arrangements, supplier relationships, trade association participation) and developing tailored mitigation plans.
Design and deliver antitrust training programs for employees at all levels, with specialized modules for sales teams, procurement, business development, corporate development, and senior leadership. Maintain training records and track completion to support audit and regulatory readiness.
Monitor legislative and regulatory developments in competition law across the United States, European Union, United Kingdom, and other key jurisdictions, and update compliance policies and guidance accordingly.
M&A and Joint Ventures
Serve as lead antitrust counsel on all mergers, acquisitions, divestitures, joint ventures, teaming agreements, and strategic alliances, advising on deal structure, competition risk, and regulatory strategy from early diligence through post-closing integration.
Oversee all merger control filings worldwide, including HSR filings with the U.S. Department of Justice and Federal Trade Commission, European Commission notifications, and filings with other competition authorities as required.
Advise on joint venture governance structures and information-sharing protocols to maintain compliance with competition law while enabling legitimate business collaboration.
Identify and assess antitrust risks in proposed transactions, including horizontal and vertical overlap analyses, and develop strategies to address potential regulatory objections, including remedies and divestitures where necessary.
Business Unit Counseling
Provide practical, business-oriented antitrust guidance to operating divisions on matters including pricing practices, competitive intelligence activities, customer and supplier negotiations, distribution arrangements, exclusive dealing, bundling, and market allocation.
Advise on aerospace and defense industry-specific antitrust matters, including compliance considerations related to government procurement, subcontracting, teaming arrangements, organizational conflicts of interest, and participation in industry associations and standard-setting bodies.
Partner with the government contracts legal team to address the intersection of antitrust law and federal acquisition regulations, including bid rigging, price fixing, and market allocation risks in the defense procurement @context.
Regulatory Interface and Outside Counsel Management
Serve as the primary point of contact with competition authorities worldwide, including the DOJ Antitrust Division, the FTC, the European Commission's Directorate-General for Competition, the UK Competition and Markets Authority, and other national regulators.
Manage all aspects of government investigations, inquiries, and enforcement actions relating to competition law, including responses to civil investigative demands, subpoenas, and information requests.
Advise senior leadership on enforcement exposure, potential penalties, settlement options, leniency and amnesty programs, and litigation risk related to antitrust matters.
Select, retain, and manage outside competition counsel across jurisdictions. Establish performance expectations, manage budgets, and coordinate strategy to ensure consistent legal positions globally.
YOU MUST HAVE
Juris Doctor from an ABA-accredited law school and active membership in good standing with at least one U.S. state bar.
Minimum of 10 years of substantive antitrust and competition law experience, including significant experience advising clients in the aerospace, defense, or related highly regulated industries.
Deep subject matter expertise in U.S. and international merger control regimes, joint venture structuring, cartel enforcement, and the design and administration of antitrust compliance programs.
Demonstrated experience managing cross-border competition matters across multiple jurisdictions, with particular emphasis on the United States, the European Union, and the United Kingdom.
Track record of providing strategic antitrust counsel to senior business leaders on complex, high-stakes matters.
Experience interfacing directly with competition regulators, whether in the @context of merger review, investigations, or enforcement proceedings.
Strong executive presence and the ability to distill complex competition law concepts into clear, actionable guidance for non-legal stakeholders.
Sound judgment and the ability to balance legal risk with business objectives in a fast-paced, operationally complex environment.
WE VALUE
Prior in-house experience at an aerospace, defense, or highly regulated manufacturing company, with demonstrated ability to operate as a trusted advisor embedded within the business.
Experience with government contracts and defense procurement, including familiarity with antitrust risks specific to the federal acquisition process (bid rigging, teaming arrangement compliance, organizational conflicts of interest).
Working knowledge of international cartel enforcement regimes, leniency and amnesty programs, and the practical mechanics of coordinating multi-jurisdictional investigations and settlements.
Prior government service at a competition enforcement agency (e.g., DOJ Antitrust Division, FTC, European Commission DG Competition, UK CMA, or equivalent national authority).
Experience managing outside counsel across multiple jurisdictions and maintaining budgetary discipline over significant legal spend.
Familiarity with adjacent regulatory areas relevant to the aerospace sector, including export controls (ITAR/EAR), CFIUS, economic sanctions, and anti-corruption (FCPA/UK Bribery Act).
