Ford Motor Credit Company ("Ford Credit"), has received regulatory conditional approval to form Ford Credit Bank (the "Bank") to be headquartered in Salt Lake City, Utah. The Bank will create innovative and simplified banking solutions to help customers across the country finance the purchase of new Ford vehicles, parts, accessories, and software and earn competitive rates on FDIC-insured savings accounts and certificates of deposit. The Bank will be a direct and wholly owned subsidiary of Ford Motor Credit Company ("Ford Credit"), an indirect wholly owned subsidiary of Ford Motor Company ("Ford").
The successful candidate will be a member of an exciting and dynamic team of banking professionals who would have the opportunity to stand-up and begin the operations of the de novo Bank. We're seeking a highly qualified Corporate Secretary to work closely with our Bank Chief Executive Officer, Legal Counsel and the Bank's Board of Directors. As the Corporate Secretary, you will be a vital link between the board of directors, bank leadership, regulators and shareholders. You will ensure the smooth and efficient operation of the board of directors, maintain the highest standards of corporate governance, and ensure the company's compliance with all legal and regulatory requirements regarding corporate governance. The ideal candidate will bring experience from the banking industry, understand corporate law and governance, and have excellent organizational, communications and writing skills.
What you'll do...
Organize agendas and review materials to be used for meetings of the Board of Directors and Board level Committees, record accurate meeting minutes, calendar management and meeting logistics.
Securely manages and maintains all important bank documents and records, ensuring their confidentiality and accessibility.
Facilitate effective communication between the board, the bank executive team, and shareholders, fostering transparency and collaboration.
Oversee the preparation and execution of the Annual General Meeting (AGM), ensuring compliance with all relevant regulations and procedures.
Facilitates director training and development initiatives to enhance their effectiveness, knowledge, and understanding of corporate governance principle
Oversight and coordination of bank secretarial work including but not limited to signing authorities, maintenance of statutory registers & records, arranging for powers of attorney and certifications, maintain bank officer appointments
Ensures the bank's adherence to all legal and regulatory requirements, maintaining high standards of corporate governance and advising the board on best practices.
Oversee Board level policies and measures compliance with policies.Ensure policies are approved by the board as required
Oversee annual board needs assessment and measure board level self-assessments
You'll have...
Bachelor's degree in business administration, law, or related field.
Minimum of 5-7 years of experience as a Corporate Secretary or in a similar role, preferably in the banking industry.
Strong knowledge of corporate governance and formalities principles, and banking regulations.
Proven experience working with a board of directors
Excellent communicator in written and verbal form
Extremely versatile, dedicated to efficient productivity
Experience planning and leading strategic initiatives
Even Better...
Experience with Board of Directors desired
Familiar with securities laws
Proven success in a project coordination role
Nimble business mind with a focus on developing creative solutions
Strong project reporting skills, with a focus on interdepartmental communication
Understanding of board software and document management systems
Experience in maintaining corporate historical documents and records
