The Deputy General Counsel, Risk & Insurance ("Deputy GC") is a key member of HUB's Legal & Compliance leadership team, reporting directly into and working closely with the Chief Legal Officer. In providing sound, timely and practical legal advice to corporate leadership, including the Chief Compliance Officer, Risk & Insurance, as well as to HUB's many business entities and brokers across all US states, the Deputy GC's role will focus on the Property and Casualty ("P&C") sector as well as the retail and wholesale brokerage businesses overall, with responsibilities including leadership on corporate governance and internal policy issues, the negotiation of significant contractual agreements and the monitoring of substantive U.S. state and federal legal developments affecting the Company and the insurance brokerage industry. The position involves managing a team of attorneys and legal professionals that oversee all insurance regulatory matters, as well as litigation and claims pending or potentially pending against the company. The Deputy GC will also work with others on long term strategic initiatives as well as ensuring that day to day questions from other Legal and Compliance team members and from business leaders are timely addressed.
Essential Duties and Responsibilities :
· Provide sound and practical legal counsel to senior management on legal, regulatory and compliance matters affecting HUB's U.S. entities and brokers.
· Partner with the General Counsel, Canadian Operations and his team in aligning policies, procedures, and Broker Standards, where permissible by law, to better ensure consistency.
· Lead and consult on corporate governance issues, including the Broker Standards, as well as on commercial and legal support and guidance to the operating leaders of the business.
· Support complex issues arising out of Mergers and Acquisition activity, including questions concerning due diligence, integration and potential regulatory issues.
· Negotiate and draft, and supervise and train others in drafting significant contracts including HUB's client contracts, carrier agreements, sub-broker agreements, referral agreements and affinity agreements.
· Review business proposals and advise on permissible forms of broker compensation.
· Offer leadership, mentoring, and legal advice to the Legal & Compliance team regarding questions of policies and procedures and the insurance regulatory landscape.
· Support HUB's multi-disciplinary team on data breach reporting and response to the extent necessary and with the understanding of state regulatory requirements in the insurance brokerage industry.
· Provide legal advice to the business and the compliance and national licensing teams on licensing issues, joint ventures, and on cross-selling opportunities.
· Manage direct report attorneys and paralegals in the P&C regulatory space.
Qualifications :
· Active J.D. in good standing required in at least one state.
· 15+ years of broad legal experience working on complex legal and insurance regulatory issues. Prior experience in developing and managing other attorneys not required, but preferred.
· Deep experience with contract negotiations and drafting in the insurance brokerage space.
· Ability to work collaboratively with and communicate clearly to associates in HUB's other legal and corporate functions (finance and accounting, information technology, marketing and M&A) as well as with business leaders of HUB's insurance broker businesses.
· Experience working on regulatory responses including complaint responses, requests for information and regulatory audit responses.
· Experience negotiating with insurance regulators regarding matters of enforcement and ongoing supervision.
· Broad and in-depth understanding of the commercial insurance business, including MGA, MGU and non-admitted markets.

Disclosure required under applicable law in California, Colorado, Illinois, Maryland, Minnesota, New York, New Jersey, Ohio, and Washington states: The expected salary range for this position is $ 225,000 - $300,000 plus bonus and will be impacted by factors such as the successful candidate's skills, experience and working location, as well as the specific position's business line, scope and level.
