With offices nationwide, the firm serves organizations around the world as an independent member of Nexia.We currently have an exciting career opportunity for a Managing Director to join the Sales and Purchase Agreement (SPA) team our Restructuring and Dispute Resolution Advisory practice.CohnReznick is a hybrid firm most of our professionals are located within a commutable distance to one of our offices. This position is considered remote which means it does not require job duties be performed within proximity of a CohnReznick office location. However, as a remote employee, you may be required to be present at a CohnReznick office with scheduled notice for client work, team meetings, or trainings. YOUR TEAM. This position will support our Restructuring & Dispute Resolution group. This group provides a wide suite of services to clients, giving you the opportunity to learn, grow, and build out your skills. Responsibilities include but not limited to: Act as a key player in buy-side and sell-side financial due diligence engagements from both private equity and strategic corporate buyersAct as a key player in buy-side and sell-side financial due diligence engagements from both private equity and strategic corporate buyersAnalyze Stock Purchase Agreements and related schedules to identify key accounting definitions and adjustment mechanisms.Support due diligence and quality of earnings teams by assessing and identifying potential areas of disagreement early in the transaction cycle. Post-Closing adjustment analysis including working capital, net debt, and other target metrics. Analyze historical and closing financial statements and supporting information to assess compliance with GAAP or contractually defined accounting principles.Prepare expert reports, rebuttals, and exhibits in connection with arbitration or litigation proceedings. Serve as an independent expert witness or assist lead testifying experts. YOUR EXPERIENCE. The successful candidate will have: Bachelor's degree in Accountancy, Finance, or related fieldStrong Excel and PowerPoint skillsCPA and other relevant professional certifications preferredStrong current knowledge of US GAAP, GAAS, SEC Reporting, transaction advisory services, or mergers and acquisitions15+ plus years of audit and/or transaction advisory experience within various industriesAbility to work additional hours as needed and travel out-of-town to clients as requiredExcellent analytical, problem-solving, and root cause determi
