The Senior Legal Officer will provide advanced legal counsel, assistance, analysis, and guidance to MD Anderson departments conducting health care and business transactions, with a particular emphasis on the review, evaluation and negotiation of major commercial business contracts, such as procurement agreements, services agreements, and non-disclosure agreements in addition to other special projects and miscellaneous complex matters.
The Senior Legal Officer will also handle other general legal inquiries involving business, regulatory, and transactional matters and provide timely advice consistent with state and federal laws and institutional policy. The Senior Legal Officer will perform other duties as necessary or desirable to assist the Legal Services Department in providing timely and effective legal services to a large academic healthcare institution.
KEY FUNCTIONS
Legal Professional
Serves as a senior supply chain and business transactions attorney within the Legal Services Department assigned to the General Business Section.
Serves as a resource to Supply Chain Management and other departments as required.
Performs all functions of a senior legal professional employed as in-house counsel as directed by the Managing Legal Officer - General Business, the Associate Vice President and Deputy Chief Legal Officer of Legal Services, and the Vice President and Chief Legal Officer, including communications with clients and preparation and negotiation, as applicable, of legal opinions, memoranda, documents, reports, and agreements.
Drafts and negotiates various commercial agreements in support of the Supply Chain Management department with a strong understanding of applicable state and federal procurement laws, rules and regulations.
Drafts and reviews, and supervises the drafting and reviewing of, standard and nonstandard contracts and assures that contractual language complies with applicable state and federal laws, UT System and Board of Regents rules and institutional standards, and ensures that contracts are executed in accordance with UT System and institutional requirements and procedures.
Assists with the review of institutional policies and procedures as required.
Assists in the development, preparation and provision of training programs for MD Anderson's workforce, in particular Supply Chain Management, regarding procedures for processing contracts, drafting and negotiating favorable contract terms, institutional policies, and any other pertinent issues.
Represents MD Anderson as legal counsel in contract negotiations and meetings.
Works as requested or necessary with MD Anderson workforce members, Office of General Counsel attorneys and other personnel from UT System, and attorneys from the private sector and state and federal agencies, and maintains a professional rapport between these various groups and the Legal Services Department.
Works with and manages outside counsel, as necessary, for assigned matters.
Legal Resource
Assists in maintaining and updating a database of essential contracts and agreements, periodically reviews this information with the Managing Legal Officer - General Business, or his/her delegate, and prepares periodic reports on contracts and other assigned projects for senior management.
Coordinates the preparation of any assigned special projects for the Legal Services Department to assure completion and timely presentation.
Projects a confident, positive attitude regarding the Legal Services Department and its services in all communications with others. Uses superior verbal and written communication skills and superior interpersonal skills. Assumes responsibility for creating and maintaining a harmonious working environment.
Assumes responsibility for maintaining professional licensure, fulfilling professional continuing education requirements and maintaining current knowledge of legal matters relating to general business and real estate law.
As requested, provides institutional support and serves on MD Anderson committees.
Performs other duties, as necessary or desirable, to assist the Legal Services Department in providing timely and effective legal services to a large academic healthcare institution.
REQUIREMENTS
Required Education: Juris Doctor
Preferred Education: Multiple Degrees
Required License: Must be currently licensed by the State Bar of Texas or another state with acquisition of Texas license within one year of date of employment.
Required Experience: Minimum of six (6) years as an attorney in a law firm, hospital/health system, academic medical center, and/or corporate business legal department with significant supply chain transactional experience.
Excellent management, organizational, communication, interpersonal, research, writing, and negotiation skills applicable to a fast-paced, customer service-oriented, intellectually and challenging environment.
Proficient in MS Word, Adobe Professional, and Outlook Calendar. Ability to work independently and as part of a team.
Preferred Experience: All of the above and substantial knowledge regarding the representation of a Texas state agency.
