Description Job Duties/Responsibilities: Describe a typical day and/or week for someone in this role. (ask for job description)

Billable Functions

· Assist in drafting purchase and sale agreements, amendments, easement agreements, and refinance documents

· Prepare contract critical dates and closing checklists for acquisitions and dispositions

· Order title reports, surveys, and environmental studies; review and resolve any issues (local and national)

· Research real property zoning utilizing municipality and county GIS, zoning maps and zoning codes

· Review pay applications and lien waivers for construction escrow draws

· Draft all conveyance and closing documents

· Obtain transfer tax stamps, association letters, certificates of insurance and all other extraneous closing documents

· Coordinate with CFA in M& A transactions for all real property acquisitions, refinancing or transfers of ownership

· Review and abstract leases and maintain critical dates follow-up

· Form, amend, reinstate and maintain LLC's and corporations

· Obtain and prepare corporate authority documents necessary for closing

· Order and review UCC searches, tax lien and judgment searches; research and file UCC financing statements; prepare Security Agreements, Dealer Agreements and End-User Agreements

· Prepare closing indices and closing books

· Prepare and file BE-1.3 forms for foreign corporations following acquisitions

· Communicate and coordinate directly with clients, consultants, vendors, municipalities

· Review work product and proof-read for accuracy before final distribution

· Respond to client e-mail and telephone calls promptly to answer questions, request information and/or to inform clients about due diligence or transaction updates

· Attend client meetings either independently or with assigned attorney

Administrative/Non-Billable Functions

· Collaborate with the practice group chairs to establish, implement, and enforce standard operating procedures, workflows, training resources, and best practices for the group

· Work professionally with your team to provide high quality and prompt legal services to the corporate and other entity clients

· Filing, photocopying, pending files, etc. as required

· File correspondence and legal documents in physical files and in office online systems

· Attend all required practice group and firm meetings

· Record time entries in 3E on a daily basis

· Maintain closing transaction directory and closing binder directory

· Maintain consultant directory Requirements Discovery, Civil Litigation, Trial Preparation, Case Management Software, Litigation
