Job Summary: Duquesne Light Company (Company) seeks a Chief Compliance Officer to lead the important compliance functions as an electric utility regarding the North American Electric Reliability (NERC) reliability standards for planning and operating the bulk electric system and the Critical Infrastructure Protection (CIP) requirements for cyber and physical security, as well as corporate compliance with the company's policies and procedures and investigations under the company's compliance hot-line. The position also provides compliance services to The Efficiency Network (TEN), an affiliate of DLC.
The Chief Compliance Officer is a leadership position at the Company and requires partnerships across the company, including with the Operations, Information Technology (IT) and Human Resources (HR) functions. The successful candidate must be able to collaborate throughout the organization, maintain the Company's culture to go beyond compliance with regulatory requirements, and exhibit a positive tone at the top regarding the value of the compliance function to the Company, employees, customers and regulators. The Chief Compliance Officer reports quarterly to the Audit Committee of the Board of Directors. The Chief Compliance Officer and the Compliance function are part of the Office of General Counsel and reports to the Vice President, General Counsel and Corporate Secretary. The Chief Compliance Officer also will have a dotted line reporting relationship to the President and Chief Executive Officer of DLC.
Key Responsibilities:
Partner with the Operations organization regarding the strategy, policies and implementation of compliance with NERC 693 requirements.
Partner with the IT organization regarding the strategies, policies and implementation of compliance with the NERC CIP requirements.
Work closely with the Chief Information Security Officer on implementation of cyber controls throughout the Company, focusing on regulatory requirements and data protection.
Partner with the HR organization regarding the strategy, policies and implementation of compliance with Company's ethics, conflicts and related policies.
Partner across the business in support of the compliance objectives of the company.
Oversight of compliance and ethics programs including development of code of conduct, conflict of interest process and policies and procedures to ensure compliance with federal, state and local laws.
Serve on steering committees for various technology and operations projects to reduce reliability, security and compliance risks.
Manage and conduct investigations arising from the Company's compliance hotline and partner with the impacted business units regarding the results of, and actions arising from, these investigations.
Provide regular training on compliance related matters including required trainings.
Development of compliance awareness program and communications.
Report quarterly to the Audit Committee on the status, results and action plans arising from the Compliance function.
Coordinate audits of the Company requested by the PA Public Utility Commission, Federal Energy Regulatory Commission, NERC, ReliabilityFirst (RF), and other regulatory agencies.
Serve as the point of contact with RF. Lead the Company's engagement with RF, including submission of self-reports, mitigation activities and management of the self-logging program.
Chair the Company's Executive Reliability Steering Committee, Conflicts of Interest Committee and Corporate Policy Committee
Serve as the designated NERC CIP Senior Manager for the Company.
Serve as the point of contact for data privacy related matters.
Lead the Compliance department with approximately ten employees and three direct reports.
Serve as a member of the leadership team for the Office of General Counsel.
Qualifications:
Juris Doctorate (J.D.) degree from an accredited law school required.
Admission to the Pennsylvania bar or the ability to be admitted within 6 months of employment is required.
Minimum of ten (10) years of experience practicing law.
Ten (10) to fifteen (15) years of leadership experience in operational and corporate compliance functions for a highly regulated business (for example, banking, healthcare, etc.).
Experience in the energy or utility industries preferred, but not required.

The desire and aptitude to apply the Company's risk appetite to the Company's regulatory and corporate compliance requirements and policies.
The executive presence to serve as the strategic leader of the Compliance function, within the Office of General Counsel and amongst the Director career level at the Company.
The highest standards of ethics, professionalism, discretion and confidentiality
An intimate understanding of the attorney-client privilege and the attorney work product doctrine.
Experience retaining, managing and collaborating with outside legal counsel.
Ability to develop subject matter expertise, strategic thinking.
