This role will be a key partner to Mercury's contracts, supply chain, and business units as the company navigates a pivotal and exciting point in our growth. Job Responsibilities: Providing legal support, counselling, and advice to senior business officials, contracts professionals, and supply chain personnel on both the "selling side" and "buying" side of the Company's business, as well as IP-related issues Providing legal review and guidance on issues related to procurement, logistics, subcontractor and supplier management, and subcontractor and supplier contract negotiations in support of the Company's U.S. Government and non-U.S.G. contracts Potentially managing and directing other attorneys and non-attorneys Drafting and negotiating critical terms directly with customers and suppliers Maintaining and revising, as necessary, the Company's standard template sales, purchasing, IP and other agreements Structure, draft, review, and negotiate a wide range of contracts, including purchase agreements, service contracts, and supplier agreements. Advise on legal risks and business terms of various supply chain arrangements Establish frameworks, SOPs, and process improvements to help streamline reviews Ensure compliance with applicable laws and regulations pertaining to supply chain management Engage with Company trade compliance team to ensure compliance with customs, export controls, sanctions, and trade laws Support the resolution of disputes or litigation related to supply chain issues Collaborate with internal stakeholders to develop and implement supply chain strategies and policies Partner with and train supply chain personnel on contracts and negotiations Providing contract due diligence support for the Company's M&A activities Required Qualifications: Deep understanding and experience with the FAR, DFARS, and other defense-related government contracting laws, regulations, and practices with particular emphasis on the supply chain Extensive experience drafting and negotiating defense-related government contract terms, including cost-based, fixed-priced, development, and production contracts and subcontracts Strong understanding of the legal aspects of supply chain management Extensive experience with contract changes and Requests for Equitable Adjustment (REA's) Extensive experience with disputes and litigation of such contracts Drafting and negotiating all @types of commercial-based contracts and agreements Drafting and negotiating data rights and all @types of IP licensing agreements Conducting due diligence as part of M&A activities Proven ability to establish processes and SOPs from scratch Ideally 8 years' experience as an attorney Preferred Qualification: JD degree from an accredited law school and be admitted to practice law in at least one State. 5+ years' experience in government contracts with a focus on supply chain "This position requires you to access information that is subject to U.S. export regulations.
