Description

An investment and venture management firm is seeking an experienced Senior Corporate Paralegal to provide ad-hoc support across several active corporate transactions. This is a fully remote engagement supporting approximately three deals currently moving toward closing, with an immediate need for hands-on assistance with stock purchase agreements, equity and capitalization documentation, corporate governance materials, and related transaction support. The workload will be project-based and driven by transaction activity, with up to approximately 20 hours per week anticipated during the initial one to two weeks before tapering to approximately 2-5 hours per week as the transactions progress. Assignments will generally have a one- to two-day turnaround and can be completed around an existing professional schedule, including during evenings and weekends, making this opportunity well-suited for an experienced corporate paralegal seeking supplemental work alongside an existing role or other client commitments.

Key Responsibilities

Prepare, review, revise, and organize stock purchase agreements and related corporate transaction documents

Prepare stock issuance, equity ownership, capitalization, and related supporting documentation

Draft and maintain board, stockholder, member, and other corporate consents, resolutions, and approvals

Support corporate governance and entity matters involving corporations and LLCs

Assist with transaction and closing checklists and track outstanding documents, signatures, and action items

Coordinate document execution, signature collection, and organization of closing materials

Review corporate, governance, and transaction documentation for accuracy, consistency, and completeness

Assist with due diligence and organization of corporate records as needed

Support closing and post-closing documentation and related follow-up

Coordinate with attorneys, business principals, and other stakeholders throughout active transactions

Requirements

5+ years of corporate paralegal experience supporting private company, venture-backed, and/or corporate transactional matters

Hands-on experience preparing and reviewing stock purchase agreements, stock issuance documents, equity and capitalization records, and related transaction documentation

Strong corporate governance experience, including board and stockholder consents, resolutions, and organizational documents

Experience supporting corporate transactions through execution and closing, including closing checklists, signature coordination, and closing documentation

Experience with corporations and LLCs, including Delaware and California entity formation, governance, and ownership documentation

Startup, emerging company, venture capital, investment firm, or similar private company experience preferred

Ability to independently manage substantive corporate transactional assignments with minimal supervision and meet time-sensitive deadlines

Schedule & Structure

Approximately 4-6 week project, with up to 20 hours per week anticipated during the initial one to two weeks before tapering to approximately 2-5 hours per week

Work will be assigned based on transaction activity, with individual assignments generally requiring a one- to two-day turnaround

Flexible schedule allows work to be completed around existing professional commitments, including during evenings and weekends
