As part of a UnitedHealth Group Corporate Legal team, this attorney will be expected to independently drive sophisticated projects to completion while operating within a team-oriented, results-driven practice group which works collaboratively with its clients on complex legal matters.
If you are located in Eden Prairie, you will have the flexibility to work remotely* as you take on some tough challenges. For all hires in the Minneapolis or Washington, D.C. area, you will be required to work in the office a minimum of four days per week.
Primary Responsibilities:
Provide legal support for UnitedHealth Group Enterprise Procurement function on transactions in a wide range of categories, including information technology/licensing, transactional intellectual property, marketing and advertising, treasury services, clinical services, human capital, real estate, and business process outsourcing
Negotiate and draft complex and sophisticated agreements, including master services agreement, software license agreements, software as a service/cloud computing agreements, data licenses, clinical trial/pilot agreements, tech evaluation, R&D and other similar agreements for IT and non-IT procurement commodities
Provide intellectual property and information technology diligence support and deal document negotiation for mergers & acquisitions transactions
Partner closely with compliance, privacy, information security, procurement, finance, and operational teams to support strategic priorities and manage enterprise risk
Build trusted relationships with internal clients by providing timely, practical, and solution-oriented legal guidance
Provide strategic legal counsel and risk assessment to senior business leaders and functional partners on a broad range of commercial, operational, regulatory, and enterprise matters regarding vendor relationships
Develop and deliver training and support on current legal issues and developments
Develop and maintain contract templates for use across the Enterprise Procurement team
Manage and resolve disputes with vendors

Required Qualifications:
Juris Doctorate degree
Current admission to a U.S. state bar and licensure in the state in which you are located
5+ years of sophisticated commercial/transactional legal experience
Experience in negotiation and drafting of sophisticated vendor/supplier contracts, transactional intellectual property negotiations, information technology/licensing negotiations, clinical procurement, pilot/proof of concept agreements and other commercial ad hoc agreements as the need arises
Proven ability to meet client needs and build trust and confidence across broad client base
Proven excellent presentation creation and delivery skills, including experience with Word, PowerPoint, Excel, and other standard tools
Preferred Qualifications:
Major law firm experience or sophisticated company senior in-house experience
Experience in negotiating within health care or similar highly regulated industry
Knowledge of healthcare regulatory frameworks, privacy requirements, compliance obligations, and risk management principles preferred
Proven ability to balance legal risk with business objectives and provide pragmatic, solution-oriented advice
Proven ability to independently manage and prioritize multiple projects while driving same to successful resolution in a timely and effective manner
Proven ability to effectively advocate/problem-solve in real time while negotiating with sophisticated Vendors/opposing counsel as necessary to obtain desired outcomes and meet regulatory requirements
Proven ability to work independently yet collaboratively in a team setting with other attorneys, subject matter experts and business partners of all levels
Proven well-developed written and verbal communication skills
Poise and confidence necessary to deal with senior lawyers, opposing counsel and senior business leaders
Proven ability to work in a fast-paced matrixed environment

Pay is based on several factors including but not limited to local labor markets, education, work experience, certifications, etc. In addition to your salary, we offer benefits such as, a comprehensive benefits package, incentive and recognition programs, equity stock purchase and 401k contribution (all benefits are subject to eligibility requirements). No matter where or when you begin a career with us, you'll find a far-reaching choice of benefits and incentives. The salary for this role will range from $159,300 to $273,200 annually based on full-time employment. We comply with all minimum wage laws as applicable.
