GENERAL PURPOSE:
Ross Stores, Inc. is seeking a detail-oriented Corporate Paralegal to join our in-house Legal team. This position will be based in the Company's Corporate office in Dublin, California and will support the Senior Director, Corporate Counsel, other members of the Legal team, and internal business partners on a range of Corporate Law matters for a publicly traded company. These matters include support relating to corporate/securities filings and compliance, Section 16 matters, Board of Directors support, general corporate governance, shareholder matters, corporate structure and subsidiaries, and other Legal Department and Company initiatives.
The Corporate Paralegal will work both collaboratively and independently, partnering with colleagues across Legal, Finance, Human Resources, and other departments.
The ideal candidate is a proactive, organized professional who thrives in a fast-paced environment and has the technical skills needed to support filing/disclosure requirements with precision.
The position will report to the Senior Director, Corporate Counsel - Corporate Law.
All of these tasks will be performed under the supervision and direction of a licensed attorney supervisor.
The base pay range for this role is $32.60 - $48.75. The base pay range is dependent on factors including, but not limited to, experience, skills, qualifications, relevant education, certifications, seniority, and location. The range listed is just one component of the total compensation package for employees. Other rewards vary by position and location
ESSENTIAL FUNCTIONS:
Day-to-day corporate law support: Provide quality paralegal support on corporate law matters, including organizing, drafting, reviewing, and managing corporate and securities documentation with strong attention to detail and deadlines
SEC/NASDAQ/CA/other filings and disclosures: Assist in the preparation, coordination, and review of Company filings/disclosures/compliance, such as Forms 10-K, 10-Q, Proxy Statement, and 8-K
Section 16 matters: Assist in the preparation of Section 16 forms and support insider trading compliance
Corporate Governance/Shareholder matters: Support corporate governance and shareholder matters, including proxy and annual meeting, executive compensation disclosures, and other compliance/regulatory issues
Board of Directors matters: Assist with others on a team with preparation, compilation, and maintenance of Board and Committee materials, presentations, resolutions, minutes, and other documents; conduct research on various Board-related issues, governance, trends, developments, and risks
Subsidiaries, Financing, Executive Contracts, and other matters: Assist as needed with governance and compliance matters relating to domestic and international subsidiaries/structure, financing, executive contracts, and other complex corporate matters supporting the Company's strategic objectives
Legal and Company Projects: Assist, collaborate, and independently manage as directed on Legal and Company projects and other tasks as directed
Ross Legal and Corporate team collaboration: Collaborate and build positive, productive relationships with team members at all levels across the Legal Department and Corporate functions
Work with and direct outside counsel on advice, research, filings, disclosures, and other projects as needed

QUALIFICATIONS AND SPECIAL SKILLS REQUIRED:
Four years + of corporate paralegal experience, with exposure to corporate law matters; law firm experience preferred, with in-house experience a plus
Relevant degree, certificate or equivalent training, and equivalent work experience
Experience supporting Corporate Law matters for publicly traded companies
Strong attention to detail, combined with excellent spelling, grammar, and communication skills, including the ability to compose clear and accurate correspondence and reports
Experience managing a large volume of work in a fast-paced environment, while following through and meeting deadlines
Track record of developing/maintaining trusting relationships with diverse range of business partners and working collaboratively across levels and business units
Flexible, humble team player with exceptional interpersonal skills
Strong business sense with excellent legal and business acumen, analytical, and drafting skills
Collaborative and helpful - as concerned about team members as him/herself
Notary Public status a plus

Requires sitting, standing, walking, hearing, talking on the telephone, attending in-person meetings, typing, and working with paper/files, etc.

This role requires regular in-office presence, including to engage in in-person team interaction, meetings and collaboration, mentoring, coaching, and/or feedback. However, this role can perform duties effectively using a combination of in-office and remote work, with additional in office time as needed.
