Resp & Qualifications
PURPOSE:
This position provides leadership, strategic and tactical direction for the legal, compliance, risk management, and contract quality assurance activities of the Strategic Sourcing and Procurement department. Additionally, this position will provide high level counsel to the Office of the General Counsel and to internal clients concerning the drafting, negotiation and implementation of contracts, requests for proposals (RFPs), and/or litigation brought by and or against it concerning sourcing and procurement.
ESSENTIAL FUNCTIONS:
Procurement Contract Management
Leads the companys Procurement Contracts Management team and contract-review processes to ensure that all company contracting efforts adhere to applicable risk and established sourcing and procurement standards. Collaborates with Corporate Counsel and with the corporate Risk Department to update and improve contracts, templates, and related guidelines. Manages procurement contract attorneys and department professionals to ensure all procurement contracts (i) are reviewed for legal and commercial sufficiency; (ii) negotiated with opposing counsel to the benefit of the company and according to established timeline, (iii) comply with companys risk standards; and (iv) are transmitted to subject-matter legal counsel for further review if/as needed. Directs both internal customers and external stakeholders to appropriate contract attorneys. May represent the corporations in sourcing, procurement, and/or other matters brought by and against the Corporation. Provides strategic direction and guidance to contract attorneys and support staff based on corporate initiatives and allocates resources based on established priorities.
Strategic Counseling
Works with Assistant and/or Associate General Counsel who represent the various corporate divisions concerning the strategic sourcing and procurement activities of the division. Provides advice and counsel directly to executive management concerning the sourcing and procurement process and legal issues that may affect the process. Analyzes and provides legal guidance on a wide range of contractual and operational matters, including the interpretation and implementation of vendor and/or procurement contracts. Evaluates divisional initiatives and represents the Corporations legal interests in the Strategic Sourcing and Procurement process and on intercompany management/executive committees. Provides clear, succinct, and actionable written advice to key executive stakeholders that reflects full understanding of the pertinent operations of the sourcing and procurement and PCM functions. Supports clients in managing communications with external parties related to vendor and procurement contracting.
Contract Drafting and Negotiation
Drafts, analyzes, and negotiates contracts and complex agreements involving multiple companies and significant financial resources with outside vendors. Provides analysis of available alternatives including associated legal risks. Represents the Company in disputes and/or negotiations arising from contractual relationships and/or performance.
Employee Management
Directly manages the day-to-day activities and projects of associates who review procurement contracts for legal and risk approval. Motivates, coaches and develops employees for skill growth. Provide guidance on human resources policies. Responsible for employee development and education plans, performance management, and annual performance reviews.
SUPERVISORY RESPONSIBILITY:
This position manages people.
QUALIFICATIONS:
Education Level: Juris Doctor
Licenses/Certifications :
Bar Admission to the MD or DC Bar within one year of hire date required
Experience: 10 years experience as an attorney required and at least 5 years? experience as a lawyer representing clients in health care, insurance, health related technology, information technology, government contracting, or related field. Demonstrated significant leadership as an individual contributor within a legal department or organization. Candidates with fewer than the required years of experience as an attorney, but other significant experience in a legal role, may be considered.
Preferred Qualifications :
Prior experience managing other attorneys or legal support staff.
Prior experience negotiating sophisticated commercial and vendor contracts.
Demonstrated expertise in advising clients in a complex regulatory environment.
Knowledge, Skills and Abilities (KSAs)
Strong analytical, interpersonal, and written and verbal communication skills.
Ability to follow instructions, to be flexible/versatile, and to work independently.
Must be able to meet established deadlines and handle multiple customer service demands from internal and external customers, within set expectations for service excellence. Must be able to effectively communicate and provide positive customer service to every internal and external customer, including customers who may be demanding or otherwise challenging.
Salary Range: $190,480 - $353,579
