Mid-Level Corporate Attorney (M& A Focus) | Minneapolis (Hybrid)

A leading, full-service law firm in downtown Minneapolis is seeking a mid-level Corporate Attorney (5-7+ years of experience) to join its sophisticated business transactions practice. This is an excellent opportunity to work closely with experienced dealmakers on a wide range of mergers and acquisitions while maintaining meaningful autonomy within a highly collaborative team environment.

About the Role

In this position, you will counsel privately held companies, entrepreneurs, and investment groups on a broad range of business transactions across multiple industries. The team works on deals spanning a wide spectrum in size and complexity, providing experience with both middle-market matters and more intricate, high-value transactions involving multiple stakeholders.

You'll play an active role at every stage of the transaction process-from early planning and due diligence through drafting, negotiation, and closing-while delivering practical, commercially focused guidance to clients.

Key Responsibilities

Structure and execute a wide range of transactions, including mergers, acquisitions, recapitalizations, and corporate reorganizations

Lead and support due diligence efforts, identifying legal and business risks

Draft and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary agreements

Advise clients on financing arrangements, coordinating with lenders and investors

Navigate regulatory and compliance considerations, including antitrust-related matters and required filings

Counsel clients on strategic transactions such as joint ventures, partnerships, and cross-border deals

Requirements

Qualifications

4-9 years of corporate law experience, with a strong emphasis on M& A

Experience handling transactions from inception through closing

Strong drafting, negotiation, and client counseling skills

Ability to manage multiple matters and work both independently and collaboratively

Admission to practice in Minnesota (or ability to waive in)
