Job Description:

Provides wide ranging proactive and strategic legal advice and support to EPRI (including EPRI Europe, EPRI International and EPRI Gulf) under the supervision of a senior attorney by responding to a wide variety of legal issues and needs for an entire business area, and is able to prioritize and juggle competing demands with moderate level of support from the other attorneys.

Key Responsibilities:

Handles transactional and general international legal matters for an assigned geographic area, currently including Europe, Canada, and the Gulf Region.

Handles matters pertaining to AI, data laws and privacy.

Assists in providing legal services under the direction of senior attorneys and the Sr. Director International Legal, including legal advice, representation and support to management and staff in order to facilitate achievement of goals, while anticipating and managing risk in a risk-intelligent, agile and nimble fashion

Analyzes and negotiates proposed contractual and licensing transactions, evaluates compliance with applicable law and policy

Drafts, negotiates and finalizes bids and resulting agreements with EPRI's customers (including members, governments and other stakeholders), contractors and other third parties

Provides specific assistance on global compliance matters

Makes recommendations to senior attorneys or management on variance from standard policies and legal terms, including for non-disclosure agreements, memorandums of understanding, bids and services contracts.

Drafts transactional and other documents, including procedures and processes in support of policies

Researches and analyzes legal issues on a broad spectrum of subjects that could include among others: intellectual property; and other legal and regulatory compliance issues (such as export control, Foreign Corrupt Practices Act, privacy, AI, and antitrust); corporate governance issues; corporate infrastructure issues, tax exempt, company law.

Other duties as needed.

Education and Experience:

Law Degree from a nationally accredited reputable university or law school

Qualified solicitor in good standing in Ireland and/or England & Wales. Additional bar membership in the United States or qualifications in other pertinent jurisdictions a plus

2 - 5 years of applicable post-qualification experience (PQE) (having both law firm and in-house counsel experience a plus)

Strong ability to express complex ideas orally and in writing in a concise "plain English" manner

Basic knowledge of intellectual property law (licensing) and experience drafting licenses or other contracts

Working knowledge of AI and privacy law

Experience with international transactions

Familiarity with international compliance issues, such as export control or the general data protection regulation

Work experience abroad and inter-cultural experience a plus

Exercises sound judgment, particularly in determining when to elevate issues and ask questions

Working knowledge of at least one other language pertinent to EPRI's business (in addition to English) a plus (e.g., French, German, Spanish or Arabic)

EPRI is committed to complying with the regulatory framework governing export control, consisting of international treaties, U.S. laws, regulations and trade sanctions, and where applicable, foreign laws governing export control. These include the International Traffic in Arms Regulations (ITAR), Part 810 nuclear export regulations, and the Export Administration Regulations (EAR). It is a critical requirement of this role that the successful candidate will have to work with export-controlled technology / information.
