Associate, Corporate China Practice

Support senior attorneys in advising public and private companies with operations primarily in China, both domestic and foreign, on a broad range of corporate and securities matters, including securities offerings, Securities and Exchange Commission (SEC) reporting and compliance, mergers and acquisitions (M&A), corporate governance, financings and general corporate matters. Work with companies in different industries to complete public offerings or private placements in the United States and ensure they meet SEC regulations and other state and federal legal and regulatory compliance requirements. Communicate with investors, regulators, and SROs. Conduct legal research; prepare corporate minutes; review and analyze public companies periodic reports to be filed with the SEC; handle international transactions; and perform due diligence. Partial telecommuting 2 days per week permitted. Salary: $235,000. Requirements: Juris Doctor (J.D.) degree or foreign equivalent and 6 months of experience in the position offered or related position. Must have 6 months of experience with: due diligence, drafting and negotiation of agreements relating to public and private securities offerings of U.S. and foreign companies in the U.S. securities markets; working with public companies on their preparation and review of reports required to be filed with the Securities and Exchange Commission, prepare filings with FINRA, and major stock exchanges to satisfy regulatory requirements; researching, negotiating, and resolving complex legal issues for U.S. and foreign companies under U.S. laws, including securities and corporate laws; working with clients to manage and advise on their legal issues related to their businesses, especially regarding cross-border transactions ; and reading, understanding and analyzing financial statements using Excel.
