About The Position :
Reporting directly to SPG's General Counsel, this is an opportunity to join a dynamic legal team that supports numerous high-growth business units across fascinating niche insurance industries. We are looking to add a smart, hard-working, engaged and engaging lawyer to the team, someone who values collaboration, teamwork and diving head-first into challenges. The preferred candidate will reside in Chicago, IL and report to our downtown office at 150 N Riverside Plaza Chicago, IL 60606 on a hybrid basis. This however, may be flexible for the right candidate.
Key responsibilities for the Senior Corporate Attorney will include:
Engaging daily with SPG's senior business leaders across 30+ diverse divisions, often serving as their primary point of contact and first stop for critical thought partnership and problem solving.
Negotiating, drafting and reviewing various legal documents (including a wide range of commercial agreements such as wholesale and retail carrier agreements, program management agreements, producer agreements, and marketing or referral agreements). Direct engagement with third party counsel and senior business leaders, owning the contracting process from start to finish, intermittently mediating, cajoling and acquiescing to obtain the best outcome for the business.
Proactively identifying and managing risk across all aspects of the business, from contract negotiation to partnership implementation to potential E&O exposure to threatened litigation. Working directly with HUB's corporate legal team to oversee active litigation and provide necessary oversight of and partnership to outside counsel managing active SPG litigation.
Participating in SPG's industry-leading M&A process, conducting due diligence, engaging with prospective acquisition target leaders, and supporting business teams and outside counsel in all areas of transaction.
Supporting various special projects, including launch of new business lines or new product or service offerings, through direct partnership with SPG's sales and marketing teams.
Brainstorming, strategizing, collaborating and other similar activities during daily conversations with SPG's General Counsel.
Providing direct input in designing legal processes and procedures and utilization of technology within SPG's Legal Department. Conceptualizing and implementing process improvements.
Requirements:
Bachelors and Law Degrees.
6+ years of progressive experience as an attorney, preferably within the insurance industry. In-house experience a plus.
Working knowledge of typical contractual terms within the insurance industry (as they may relate to papering transactions) and experience with standard managing general agent agreements (such as wholesale and resale carrier agreements, program management/administration agreements, agent/broker agreements, etc.).
Experience working independently, comfort owning processes from start to finish with minimal oversight.
Desire to maintain, contribute to, and enhance the existing, outstanding culture we've worked hard to build.
Admitted to practice in and member in good standing of at least one state bar.
Preference for position to be based in Chicago, Illinois (home of SPG's and HUB's corporate office), with plenty of work-from-home flexibility.
Up to 10% travel. (Only for those interested, otherwise the genuine option to decline travel and let the General Counsel go instead exists. It's fine, she doesn't mind.)
Disclosure required under applicable state or municipality regulations: The expected salary range for this position is $175,000-$210,000 and will be impacted by factors such as the successful candidate's skills, experience and working location, as well as the specific position's business line, scope and level.
