ESSENTIAL DUTIES AND RESPONSIBILITIES

Provide significant level of ongoing legal support and guidance to Truist's Commercial and Corporate Banking and Private Wealth Management (Commercial) lines of business and their internal credit, compliance, risk and operational partners on a wide range of complex issues relating to new and existing commercial syndicated and bilateral loans including loan structure, authority issues, applicable loan documentation, regulatory requirements, collateral and intercreditor issues, and closing and post-closing servicing matters.
Responsible for identifying and assessing legal risk, providing legal advice, assisting in resolving and escalating matters which may present potential exposure to the company.
Review proposed legislation and regulations as well as case law developments that affect. Truist Bank's commercial lending activities and provide advice and guidance to the impacted lines of business and other stakeholders.
Coordinate with outside counsel representing Truist Bank on commercial lending transactions to resolve issues raised by borrower's counsel, various loan and collateral related issues and regulatory issues. Identify need for and when necessary, select, engage, and direct outside counsel to undertake specific projects or matters in accordance with Truist Bank's policies and guidelines.
Provide legal interpretations and guidance to internal compliance team and other stakeholders for regulatory matters impacting commercial loans including flood, ECOA/Reg. B, HMDA, SCRA, Reg. U and Rule 144.
Draft and update form loan, collateral and related documentation for use by Truist Bank's Commercial and Corporate Banking and Private Wealth Management (Commercial) lines of business and provide guidance and updates for the use of such documentation by internal bank teammates and approved outside counsel.
Provide legal input and work with other stakeholders including line of business, credit, risk, compliance, and operations partners on various internal strategic projects designed to improve the efficiency and effectiveness of Truist Bank's commercial lending process.
Coordinate and lead meetings and mentor junior attorneys and paralegals.
Serve as an individual contributor but may provide ad hoc work direction, supervision and assistance to other legal staff on transactions or projects as well as working in an integrated manner as part of a larger team on strategic projects.
QUALIFICATIONS
Required Qualifications:

Juris Doctorate degree from an ABA accredited law school and licensed to practice law in good standing
5 - 8 years of post-bar experience in a law firm, government, and/or corporate settings
Possess superior written and verbal communication skills with proven ability to communicate in direct, concise and effective manner.
Ability to prioritize matters, utilize time management skills, and move between matters fluidly.
Ability to handle a heavy workload, balance and prioritize multiple tasks to meet critical deadlines.
Willingness to work evenings and weekends when required.
Able to work autonomously without close supervision.
Ability to manage and grow relationships with key business and non-business teammates and independently take and manage responsibility for providing legal support and guidance to lines of business in real time.
Team-oriented mentality and excellent interpersonal skills.
Demonstrated proficiency in basic computer applications, such as Microsoft Office software products.
Preferred Qualifications:
Experience handling sophisticated commercial lending transactions for entity engaged in the financial services industry or as part of representing clients engaged in the financial services industry.
Experience in a corporate legal department having successfully held positions of advancing responsibility.
An educational focus on business, finance or accounting.
Comfortable working in the entrepreneurial environment of a large, complex corporation.
Experience with some or all of the following: broadly syndicated credit facilities and club deals, dealer finance floorplan lending, healthcare lending, loans secured by investment assets, lending to governmental and municipal entities, not for profit entities and entities involved in higher education, tax exempt loans, asset based lending, lending to entities involved in the media and telecom industry and to entities involved in the financial services industry, supply chain finance.
