The position of Counsel will be based out of our Dallas, TX location!
Summary
The Counselor is responsible for being a risk management and business advisor to Region, Specialty Business, and Functional leadership, including being a legal and risk management lead with transaction and commercial support for sales, procurement, operations, mergers and acquisitions, compliance and ethics investigations, litigation and dispute proceedings, labor and employment matters, and other legal matters. Works closely with and under the supervision of the General Counsel and other Senior Counsel within the Legal department.
What You'll Do
Counselor and risk management business advisor to Region, Specialty Business and Functional leadership
Transaction and commercial support for field sales, procurement and operations, and the development of template commercial documents
Counseling on labor and employment matters, including development of template labor and employment documents
Manage compliance counseling as well as compliance and ethics investigations
Management and oversight of litigation and dispute proceedings
Legal support on mergers and acquisitions, including due diligence, drafting and negotiating transaction documents, and working with external counsel
Handling miscellaneous and various legal matters for the company, including privacy, information technology, intellectual property, corporate governance, and other matters
Other duties as assigned

What You'll Need
4 Year / Bachelor's Degree
Juris Doctor (J.D.) Degree
5+ years of law firm or corporate in-house experience
Non-profit (e.g. University) in-house legal staff experience
Knowledge, Skills & Abilities
Ability to travel as needed
Strong analytical, communication (written and verbal), and presentation skills
Commercial knowledge and understanding
Substantive knowledge in one or more Legal subjects (e.g. transaction, labor, and employment)
Excellent digital IT skills
Team player, strong collaboration skills
