Associate Attorney, Banking and Finance

Structure and negotiate complex transactions including securities offerings, debt financing, equity investments and structured finance arrangements on behalf of sovereign entities as well as public and private companies in the energy, natural resources and infrastructure industries or sectors. Draft, negotiate, and review complex transaction documents including prospectuses and other offering documents and memoranda, underwriting and purchase agreements, credit agreements, guaranties, security and pledge agreements, asset and stock purchase agreements, stockholders' agreements, confidentiality agreements and legal opinions. Advise on corporate finance transactions including debt financing, equity investments and structured finance arrangements. Perform legal research and analysis of U.S. regulatory frameworks across various industries including securities regulations. Advise on corporate governance matters.Requirements: Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 3 years of experience in position offered or as an Associate (Admitted or Unadmitted) or Visiting Attorney at an international law firm with annual revenues in excess of $750 million.**All required experience must have included working on structuring and negotiating complex transactions including securities offerings, debt financing, equity investments and structured finance arrangements on behalf of sovereign entities as well as public and private companies in the energy, natural resources and infrastructure industries or sectors in Latin America; participating in drafting, negotiating, and reviewing complex transaction documents including prospectuses and other offering documents and memoranda, underwriting and purchase agreements, credit agreements, guaranties, security and pledge agreements, asset and stock purchase agreements, stockholders' agreements, confidentiality agreements and legal opinions; assisting with providing advice on corporate finance transactions including debt financing, equity investments and structured finance arrangements; performing legal research and analysis of U.S. regulatory frameworks across various industries including securities regulations; and assisting with advising clients on corporate governance matters.Must be admitted to practice law in New York. Less than 5% domestic/international travel required for client meetings.This role entails hybrid work, with time split between working in our New York, NY office and flexibility to telecommute from another U.S. location. #LI-DNI
