The Contract Review Specialist is responsible for reviewing, analyzing, and managing vendor contracts, service agreements, non-disclosure agreements, and other legal documents to ensure alignment with the credit union's policies, regulatory requirements, and risk tolerance. This role partners with internal stakeholders across multiple departments to facilitate contract intake, identify key contractual terms and potential risks, and support the timely execution and maintenance of agreements entered into on behalf of the credit union.

The ideal candidate is highly detail-oriented, organized, and capable of managing a high volume of contracts while supporting the credit union's legal, compliance, and operational objectives. In addition, this position provides administrative and operational support to the Legal Operations Department through legal matter tracking, document management, workflow coordination, reporting, and departmental initiatives.

ESSENTIAL FUNCTIONS

Review vendor contracts, service agreements, amendments, and related documents for accuracy, completeness, compliance, and alignment with business objectives.

Identify, escalate, and help mitigate contractual risks, non-standard provisions, and compliance concerns within agreements, amendments, and non-disclosure agreements (NDAs).

Coordinate contract reviews and approvals with internal stakeholders, including Legal, Compliance, Information Technology, Procurement, Risk Management, and business units.

Track and maintain key contract provisions, including expiration dates, renewal terms, service-level commitments, notice requirements, and vendor obligations.

Maintain accurate and organized electronic contract records within the credit union's contract management system and other designated repositories.

Support contract intake, routing, approval, and execution workflows to ensure timely processing and completion of agreements.

Assist in the development, maintenance, and implementation of contract templates, playbooks, standard clauses, and review checklists.

Prepare and maintain contract-related reports, dashboards, and metrics to support departmental visibility and decision-making.

Respond to internal requests for contract information, status updates, and document retrieval.

Provide contract documentation and supporting data for audits, regulatory examinations, due diligence reviews, and internal assessments.

Assist with legal matter tracking, document management, and other operational responsibilities within the Legal Operations Department.

Provide support for departmental processes, including intake management, deadline monitoring, records administration, and document processing.

Participate in special projects, process improvement initiatives, and other assignments that support departmental and organizational objectives.

EDUCATION/CERTIFICATION

Associate's degree in Business Administration, Legal Studies, Finance, or a related field required.

Bachelor's degree preferred.

REQUIRED KNOWLEDGE

Basic understanding of contract structure, legal terms, and vendor management practices.

General knowledge of compliance obligations in financial institutions (e.g., NCUA, third-party due diligence).

Familiarity with internal controls, risk assessment, and document retention practices.

EXPERIENCE REQUIRED

2--3 years of experience in contract administration, procurement, legal support, or compliance in a professional setting.

Experience working with third-party vendors or reviewing service agreements preferred.

Credit union or financial institution experience is a strong plus.

HARD/TECHNICAL SKILLS/ABILITIES

Proficiency in Microsoft Word (including document comparison and redlining), Excel, and Outlook.

Familiarity with contract lifecycle management (CLM) systems or document management platforms.

Strong attention to detail and ability to spot discrepancies or risk factors in written documents.

Ability to manage multiple contract timelines and requests simultaneously.

Excellent organizational skills and written/verbal communication.

Strong data entry and recordkeeping skills with high accuracy.

Ability to work independently while collaborating with multiple departments.
