Finance Associate (Greenberg Traurig, LLP, New York, NY): Draft Debt Term Sheet outlining the key economic terms (e.g., interest rates, maturity of the loan, prepayment mechanisms of the loan, borrowing mechanism for the loan) of the Credit Agreement and negotiate the terms with the lender on behalf of the borrower. Draft Credit Agreement based on the Debt Term Sheet and negotiate the terms with the lender on behalf of the borrower. Draft Schedules and Exhibits to the Credit Agreement. Request lien searches and prepare payoff documentation for any existing debt that will need to be paid off. Draft Perfection Certificate and Collateral Agreement for the collateral to be secured by the loan. Prepare lists of collateral that will be secured by the lien. Coordinate delivery of possessory collateral, such as stock certificates, stock powers, promissory notes and allonges. Prepare draft of the legal opinion. Prepare officers certificate with respect to the satisfaction of certain conditions precedent, including that the representations and warranties are true and correct in all material respects. Prepare secretarys certificates, which attach the latest copies of the organizational documents, and the good standing certificates issued by the relevant secretary of state offices for the borrower and the other loan parties. Coordinate the delivery of information relating to beneficial ownership of the borrower and loan parties in order to satisfy the lenders Know Your Customer regulations and requirements. Draft board and stockholders written consents authorizing the Financing and the funding of the loan. Coordinate with foreign counsels in jurisdictions where borrowers are providing security interests over foreign collateral, including pursuant to fixed charges and floating charges over foreign assets. Coordinate with foreign counsels regarding the sufficiency of liquidity and creditworthiness of foreign loan parties to provide guarantees of U.S. debt.

Requirements: JD, LLM or foreign equivalent degree; plus 1 year of experience in the position offered or as JD-Law Clerk or Associate working in M&A and banking and finance law representing both buyers and sellers in complex public and private debt financing transactions. Must have 1 year of experience: drafting board and stockholders written consents; drafting, reviewing and revising debt commitment papers, collateral documents and other closing deliverables; working with public and private debt financings; experience with acquisition financings for private equity sponsors and related borrowers; drafting organizational documents, including certificates of incorporation and formation, bylaws and LLC agreements. Must be admitted to practice law in the State of New York. Telecommuting up to 2 days a week within the intended worksite area is permitted.
