Lead team of attorneys advising French and U.S. companies and investment funds on international tax issues at the intersection of French and U.S. tax laws, specifically performing the following duties: Oversee research and analysis of applicable international tax rules, including primarily U.S. and French rules. Oversee drafting of memoranda to clients explaining/summarizing application of relevant US and French tax rules, including under the US-France tax treaty and including tax compliance requirements. Oversee and review preparation of tax disclosure summaries and due diligence reports for investors. Lead coordination with corporate and finance counsels on US and cross-border tax requirements for deal executions and closings. Oversee and review tax provisions in corporate and contractual documentation. Manage tax advisors and tax advice across multiple countries for multi-jurisdictional transactions, including coordinating and streamlining cross-border tax advice to ensure compliance with multi-jurisdictional rules. Tax opinions as required in certain transactions. Manage the preparation of certain filings such as Form SS-4 applications and Form 8832 elections. Requirements:Juris Doctor (JD), LLM, or foreign equivalent, plus 2 years of experience as an Associate.All required experience must include providing cross-border tax advice to French and U.S. companies (listed and not-listed), investment funds and individuals on cross-border transactions and tax issues involving the United States and France, including (i) acquisition and expansion projects into France and/or the United States, (ii) investing into France and/or the United States and admitting investors from France and/or the United States, and (iii) tax compliant structuring of cross-border equity compensation programs for French and U.S. companies; and applying understanding of French and U.S. international tax rules and accompanying transactional market standard practices.
