Senior Associate Attorney, Tax (New York, NY) Review and prepare securities offerings of structured products linked to a variety of different assets. Represent clients on capital markets and finance transactions. Provide tax advice to U.S. and non-U.S. financial institutions on the development and renewal of SEC-registered and exempt structured products programs. Streamline and automate tax review system. Advise clients on tax questions in the development of new financial products, including proprietary indexes, warrants, green, social and sustainability bonds, and convertible bonds. Develop training materials and run training programs for new associates. Supervise junior associates on tax disclosure preparation. Work with senior lawyers to develop guidelines and template documents for client securities programs. Conduct legal research and draft memoranda on complex tax issues. Develop excel spreadsheets to facilitate various tax analyses. Mentor and provide guidance to junior attorneys as needed. Communicate with clients regarding material tax issues in ongoing transactions and tax law developments. Conduct basket contract tax review for indices.

Requirements:

Juris Doctor, Master of Laws, or foreign academic equivalent.

Two years of legal experience involving tax legal matters including structured products and capital market transactions.

Legal experience involving setting up and reviewing structured products offerings under shelf registrations.

Legal experience involving drafting and reviewing tax disclosures for capital market transactions.

Legal experience involving the negotiation of transaction-related agreements for securities offerings.

Experience in developing and utilizing Excel spreadsheets for various tax analyses related to debt instruments.

Legal experience related to the development of new financial products.

Legal experience involving the preparation of tax related SEC and IRS fillings.

Experience in developing automated tax review system.

Admission to New York State Bar.

Salary: $365,000 - $435,000/year
