Represent financial institutions and U.S. and non-U.S. companies in various industries on a broad range of finance-related transactions, with a focus on representing sophisticated financial institutions on complex, syndicated financings provided to affiliates of private equity funds and entered into in connection with acquisitions. Serve as lead client contact / counterparty liaison and manage every aspect of complex financing transactions from term sheet, commitment papers and credit agreements to final funding and closing. Prepare, review, and negotiate new contracts under which financial institutions and other lenders provide or commit to provide financings to borrowers, including borrowers sponsored by private equity funds. Prepare detailed issues lists and draft and negotiate terms in commitment papers and credit agreements across a variety of financing structures including first lien, second lien, revolving, bridge and debtor-in-possession. Coordinate the closing process for financings, including preparing, reviewing, and negotiating customary closing documentation and managing junior lawyers and legal assistants in their support of the closing process. In distressed-borrower scenarios, advise such borrower or its creditors on financings entered into prior to or after the filing of bankruptcy protection, including out-of-court work-outs and exit financings. For secured financings, advise clients on matters governed by New Yorks Uniform Commercial Code. Advise clients on the latest market trends in the U.S. syndicated loan and private credit markets, including trends arising from general negotiations between borrowers and lenders in these markets and trends arising from legal and regulatory changes impacting these markets.

Requirements:

Juris Doctor, Master of Laws, or foreign academic equivalent.

Three years of legal experience advising financial institutions and U.S. and non-U.S. companies on finance-related transactions, including leveraged buyouts, first and second lien financings, debt restructurings and asset-based credit facilities.

Admission to the New York State Bar.

Three years of experience advising clients on matters governed by New York States Uniform Commercial Code for secured transactions.

Experience in advising clients on the adherence of financing contracts with market terms in the U.S. syndicated loan or private credit markets.

Experience managing junior lawyers and legal assistants in supporting the financing closing process.

10% domestic travel.

Salary: $365,000.00 - $435,000.00
